PDF Editor FAQ

Can you refuse to sign a termination letter?

Of course. No one can make you sign a letter. Termination letters typically are to the advantage of the employer, because they allow the employer to document the fact of termination and the reasons for it, with the employee agreeing. This tends to make litigation more difficult, if not impossible, down the road for the employee, and in fact, such letters may contain liability releases. That doesn't mean that there's nothing good for the employee—signing a letter may be required in order to receive severance pay, for example—but if you are leaving your employer on bad terms (e.g., you believe you are a victim of discrimination or have been terminated for another legally improper reason), at minimum, you should speak with a lawyer before signing anything.

What is the dirtiest fine print you've seen in a contract?

Many places that provide physical activity as a service, such as trampoline parks, indoor rock climbing gyms, skating rinks, and others actually have some pretty shady fine print if you actually bother to read and the understand the liability release forms you’re signing in order to enjoy the service.Of course, there is text in those agreements that states that you understand that there is an inherent risk to participating, and the service provider is not liable for injury you sustain due to misuse of equipment, attempting maneuvers that are beyond your skill level, or the improper activity of other patrons. Those are reasonable. There is often also additional text that states that you absolve the service provider of liability for injure that you sustain as a result of happenstance, such as a piece of equipment malfunctioning or breaking. This is starting to get hazy, but I suppose there is still a case to be made that equipment does wear out, and catastrophic failure could feasibly be chalked up to very unfortunate timing. But if you look closely enough, you can even find fine print that states that you absolve the service provider of injury that you sustain due to negligence. Indeed, some places are getting you to sign waivers that basically state that they will flip you the bird when you are injured by equipment that is rusted or has other obvious signs of degradation or another customer whose dangerous activity has been known to staff but staff has not asked that person to leave. Here is a waiver for a popular trampoline park called Quantum Leap. The dirty print in question is contained in the sections titled “Release of Liability” and “Indemnification”.

What is the standard set of legal documents that a startup will get from a startup lawyer for 5-15k?

Every startup will have its own unique legal needs, however through the years I can identify a core set of legal documents a startup should receive from a startup lawyer so as to establish what I refer to as its basic legal infrastructure. This basic legal infrastructure would be sufficient to take the business from concept to launch. Of course the recommended documents listed below represent a generic iteration of a business venture and does not consider highly complex startups which may require additional legal documents. However the following list can be used as a foundation to build out from:Non-Disclosure AgreementAssignment of Intellectual PropertyBylaws and Other Documents Related to Business Structuring and OperationsEmployee Contracts or Offer LettersLiability Release FormsOperating AgreementsStock Option Plans and Purchase AgreementsFurther, it is also important to keep in mind that the amount of legal services one will receive for $5-$15k will vary in some markets a startup will receive less as fees for services may be higher in other markets startups may receive more services.LawTrades offers robust legal packages for startups for much less than $5k. You wouldn't really think there'd be much of a market for this product, but I'm it. Specifically because I invoice clients through PayPal, which is very particular about the types of files it will accept to attach to those invoices. The CocoDoc software makes communication with clients easier. Whether I've got a spreadsheet, a JPG or pretty much any other type of file, I can send it along. Interestingly, you can do it in reverse, too! Convert a PDF to Office formats, for instance. Furthermore, you can rotate, number, merge and more. So, say you've scanned something using PDF scanner. You can edit the resulting file using this software. Very handy!
