Has anyone declined an offer to work at Snapchat? What were the reasons for declining?

While it's topical (with this just posted: Someone anonymous's answer to What is it like to work at Snapchat?), let me write something about this. I came pretty close to accepting a software engineering role after they came and recruited on-campus early last fall. Ultimately I didn't end up taking it.Here were the considerations.My RSU grant's value was much larger than my other grant offers (including the offer I ended up accepting). This much-larger grant was paired with a back-weighted vesting schedule: 10%/20%/30%/40% in the first/second/third/fourth year. Something along these lines was suggested by Sam Altman in a blog post a ~year ago on employee equity.Despite Sam's endorsement of this type of thing, I'm not a fan. With Snapchat's scheme, in your third year you vest the same amount of equity as in the first two years combined. I figured this would put me in a really difficult spot psychologically if after a year or two or three I wanted to go elsewhere for whatever reason (not uncommon in this industry).There was another clause that made me uncomfortable. After 6.5 years from grant date, if there hasn't been a liquidity event, your equity vanishes. Poof! It was pointed out that there was nothing stopping Snapchat from making fresh grants of the same size in 6.5 years to people who were still employed if they hadn't IPOed by then. Fine, but (a) not many people stay at the same job in the tech industry for 6.5 years, (b) this creates really uncomfortable spots if e.g. you've vested your initial grant after 4 years, you want to leave, but the company hasn't IPOed yet, and (c) merely trusting that the company does the right thing and renews your grant after 6.5 years, when they have no obligation to do so and it's not in writing, is a bit of a rough pill to swallow.The vanishing equity thing sounds crazy on the face of it, so I asked why they have it. I was told it's for tax purposes. RSUs vesting normally create a taxable event, so what they've done here is create a "substantial risk of forfeiture" (an IRS term) which delays taxes from being due until the liquidity event.There's some logic to this, but it's a totally artificial problem/solution; at no other company can your equity just vanish with nothing you can do about it. I don't know why they don't just grant options like everybody else. I saw the 6.5 years thing as being carefully calculated as a way to force people to stay after year 4.They said this whole thing was inspired by Zynga, which hardly filled me with confidence.The vesting schedule and the expiration together made me uncomfortable, both because of their direct implications but also just as importantly because I saw them as potential markers of a corporate culture that's not friendly to employees. This worried me.Ultimately I thought that if I joined Snapchat I'd end up feeling trapped there a few years down the line. And I certainly don't want to feel trapped. Especially not in LA. Seriously, fuck Los Angeles. I don't like the city and I don't have any friends there. That was the last major factor in my decision (there were other factors which were less important).I told my recruiter "no thank you" (in more diplomatic terms than I've written here) and that was that.As an aside, the overall tone of this answer is by nature pretty negative, but despite that I think it's a very exciting company and I came pretty close to working there. Perhaps in a different life I would've gotten less hung up on the specifics of the employment contract and had a happy life at Snapchat (as an aside to employers, this is evidence that these things do matter!). As it is, I couldn't be happier with where I decided to go instead.
