To amend something is to make a change, and most generally when we use the word “amend” instead of just “change,” we’re doing so because “amend” is the word we use when we are referring to a change to a document. The Amendments to a document called the United States Constitution were deemed significant enough—-and they are—-to deserve a capital “A” in any reference to them written anywhere (needless to say, any contract referring to its own amendments is going to capitalize them or correct the typist)…but I digress. The point is that both Amendments and amendments are changes made to a document. Whatever the reason for the changes, they are most generally made to either clarify something, add detail to something, or correct an omission, or a perceived omission, in the original document. An amendment to a (signed) contract may be made with the consent of the parties, and that consent is assumed, absent outright proof that it was obtained, up until the time that one of the parties declares that it was done without their consent. Thus you have the beginning of many future lawsuits over contracts, and a lot of current ones as well.An addendum differs little from an amendment, in that they both express changes to the contract or elaborations on the terms thereof, or even completely new additions which weren’t necessary discussed in the original contract but are being made a part of it now. But wait a minute, you ask, that’s pretty much what amendments do, I mean Amendments, because you could say they added things that were never exactly stated in the original. How do you tell the difference? Because an addendum has to come with its own set of signatures, the same as in the original, signed specifically for that purpose and therefore explicitly, clearly, beyond a reasonable doubt confirming, that this particular change or changes are agreed to by all the parties. If anybody contests an addendum, they had better be prepared to prove actual forgery as well.So that’s the difference, but in case the subject of the Constitution bugged you into thinking for a moment that the Amendments don’t really deserve that capital A, since they aren’t even addendums, I mean Addendums, because they don’t contain the signatures of everybody who signed the Constitution…no that really doesn’t work. Of course if original signatories were required it would make the Constitution unable to be amended after the deaths of its original signatories, and their hopes were that it would continue a long time, which it has. Therefore the Constitution itself provides the means to amend it in later times, which is that two-thirds of each the Senate and House, plus 38 of the 50 States, are required to make it legal. So Amendments are also addendums, and that’s another reason to capitalize that A, come to think of it.
