Here are two. Well, one and a half. The “half” isn’t so much a creative clause as it was a creative bit of lawyering, if I do say so myself.The creative clause occurred in a giant joint development agreement. A company was licensing technology to build a better widget. The creative clause is what I came to refer to as a “shitty patent discount.” I won’t get into the exact language, which was very extensive, but the upshot is that if one of licensed patents had any of various problems, the licensee would get a discount of a certain amount.That sounds obvious, but I was impressed with how many scenarios the license contemplated. For example, obviously if an entire patent was invalidated, there would be no more license fees. That’s easy. But a slightly more creative/thorough scenario is that if there was an unsuccessful enforcement attempt of one of the patents, that patent would also get discounted even if its validity remained. The idea is that the patent scope isn’t as great as was originally thought.There were yet other scenarios, but I’ll keep them to myself. :)The creative bit of lawyering was a genius idea by… well… me. Genius!Here was the problem: my client was negotiating with a university. The client developed a widget and wanted the university to test it in some specific ways.Universities tend to be very inflexible when it comes to contracts. They have their contract templates, and a lot of it is non-negotiable. This particular university’s template had some self-congratulatory language up front. Along the lines of “Whereas, The University is a super-awesome research institution that’s totally the best at everything; and Whereas The Company is a complete idiot in dire need of The University’s big brains; it is hereby agreed that…” and then the real contract starts.I sort of hate that kind of thing, but whatever. It doesn’t mean anything for the real scope of the contract, so I leave it in. (Besides, they wouldn’t take it out anyways, even if I pushed back.)Okay, so there was a problem. A business guy at my client was actually being a little unreasonable. The university agreed to do certain tests, but this guy wanted language in the agreement that was more or less a guarantee that the tests would involve the University’s best efforts and would be guaranteed to be error-free.There’s no way we’d ever get anyone — much less a university — to agree to that.We needed this deal to happen, yet at the same time we needed this business guy placated.Enter the genius lawyer. I proposed amending the contract to use the University’s self-congratulatory language against them. So, instead of saying “University will perform such and such test,” the amended contract said, “University will perform such and such test, at a level consistent with the University’s super-awesome status.” (Of course, in the actual amendment I parroted the specific self-congratulatory language as was in the original contract.)This left the university in a bit of a bind: they didn’t like agreeing to amendments, but at the same time they couldn’t disagree that they were super awesome. It also helped the business guy calm down. There wasn’t a guarantee that things would go well, but this was close enough for him.Of course, at the end of the day it’s kind of a meaningless exercise. I’m not sure there’s much of a legal difference between “University will perform such and such test,” and “University will perform such and such test consistent with their super-awesome status.” It’s not like people know what “super-awesome status” means.But it got the deal done, so I count it as a victory.
