Even if you code the whole stack yourself, you will eventually need to bring in other talent. And that requires incorporation.That is the short answer.The long answer will be broken down into six sections in the vain attempt to bring some order to the proceedings:1: Passing Title:If you import goods, you will need an importer of record. Because if you mess with them, they will seize your personal bank accounts, seize your house, declare you insolvent, indigent and unfit, and take your bambinos away from you. Because they legally can.3: The Department of Revenue:During Internet 1.0 I was shipping goods from third parties directly into California. After a six month slug fest with the CA tax folk I explained to them “I cannot reconcile my NY tax filings with what you are asking of me”. They answered “Not our problem”. Then I asked them “What if I incorporate a company in CA, and run it as a CA corporation?” And the senior examiner said “that will work, and since you are a non-resident, on a pass through basis, especially if you leave next to no profit in the corporate entity, you would not be liable for any extra taxes…” Problem solved.I bring this up, because federal law does not allow for third state tax collection, aka “the internet is not sales taxed”. And Google Facebook-ing the search result rankings isn’t either.Which means the terms of your engagement with Amazon will change by virtue of a changing tax regime. There might be opportunities there, because Amazon runs a 3% margin business in what could soon be a 9% sales tax regime. In which case local retailers in say Toledo or Cincinnati, might have a real chance to compete.Application of Anti trust and the Sherman Act will also have consequences if applied. Prosecutorial Discretion is, like leverage, a two way street. There might be an opportunity to challenge Amazon. Just maybe, by a thousand cuts.And challenging Amazon does not necessarily require a proper incorporation, in as much as you can run that as sole proprietorship off your personal social security number. But trying to navigate the tax regime under those circumstances would be self indulgent at best.4: Bankers:There is no more clueless an industry as 2016 Main Street Bankers. They are the shallow end of the intellectual pool. If ever there was an industry ready for disintermediation, banking is it. They are a 19th century construct in a 21st century world. Technically they are allowed 21 days to settle a transaction. I mean you can get an eight inch stock of wood, and split it down the grain half way, and have a better financial records system.Maybe block chain technologies and public ledgers will eventually solve the problem.But today you need to deal with the morons at the local branch of your favorite financial institution. And credit card fraud does not just occur on the debit side. Most fraud comes from retailers and financial institutions not keeping their zippers zip’d.YOU ARE THE LIABILITY. And until such time as you can prove that your operation will not turn into a Charge-Back Inferno, your ability to collect on that non physical card presence credit charge is in serious doubt.Because they will upper limit you at $10k for the first six months. Charge you a minimum per transaction fee. And take 21 days to pay you, killing any chance at cash flowing what would otherwise be a cash flow positive business proposition.Et cetera. You cannot do that as a sole proprietor. You need a corporate structure. Because first they will not do business with you. And second, those charge backs will go against your personal bank account.5: IP:IP is nothing but a trade secret provision under State Law. Its embodiment is the employment contract through the legal edifice of non disclosure, non circumvent and the non compete. Individuals under copyright have moral rights that cannot be abridged. That can only occur if you incorporate.If you are going to bring in people or investors, you have a fiduciary responsibility to the shareholders of the incorporated entity, to protect the know-how value add the corporation embodies.And you also need to consider the externalities. Given the politics of modern academia and the scientific community, it’s not unlikely that most scientists involved in climate-related studies believe in anthropogenic global warming, and likely believe, too, that it presents a problem.
