These were well-drafted in plain English with a slight dose of humor (e.g, headers like “What Up” and language like “You may not post or submit anything that your mother would not approve of”) — something that most lawyers should strive for by lacing some humanity into their words.That said, it was not clear which provision or terms this startup violated. If this member were engaged in a commons membership it would be easy to terminate their membership for any reason. If, however, they had an office or dedicated desk, the issue becomes more complicated. Does the membership agreement prohibit any collection of data over its network and for any purpose whatsoever? Does the member have the right to notice or other opportunities to cure their alleged violations of the membership agreement? Is it even a good idea to kick someone out of your space for saying something negative about your company (e.g, the Streisand effect).The interesting thing to note is that all WeWork agreements use the State of New York as the required venue and governing law. It will be interesting to see what happens to that provision in a state like California, which may have a strong interest in adjudicating the dispute in state.
