As a volunteer on a non-profit board how can I protect myself from lawsuits?Good answers so far from Jayne Cravens and Brandon Essey.As a board member, you are exposed to risk from a wide variety of potential lawsuits.This post is written from the perspective of an insurance agent/broker, whose concern is transferring risk to an insurance company for those financial losses to which a client is exposed.With that goal in mind, prior to becoming involved with a nonprofit board, inquire and consider the following:Directors and Officers (D&O) Liability Coverage: Ask the non-profit organization if they have proper D&O coverage in place.There are three major potential wrongful acts that lead to the lions share of liability actions against a nonprofit board. A D&O policy can cover a number of board decisions (including some “intentional” acts) resulting from decisions put in place by an organization's board of directors. Those acts and the resulting exposures facing board members include:The Three Major Areas of Wrongful Acts that bring liability lawsuits against Non-Profit Boards:The following data is taken from 1,500 D&O claims on policies issued by Nonprofits Insurance Alliance Group based in Santa Cruz, CA:[1]Governance - Claims resulting from general organizational governing decisions.5% of claims - average claim $23,000Fiduciary - claims resulting from alleged improper handling of money including fraud.1% of claims - average claim $6,000Employment Practices - claims resulting from employment-related decisions and activities.94% of claims - average claim $33,000 (this area is a rapidly growing area of claim activity and severity)Personal Umbrella Liability PolicyHaving a Personal Umbrella liability policy is good financial practice.
