PDF Editor FAQ

Does one need to attach Schedule G to IRS 1120, if the C-Corp is authorized to issue shares but has not issued/allocated any shares so far?

Form 1120 Schedule G is derived from Form 1120 Schedule K Question 4. If Form 1120 Schedule K Questions 4a and 4b are answered with an X in the "No" column, you do not need Schedule G and should not attach it. Schedule G is designed to show direct and indirect ownership and to reveal related party information. Since this C Corp has no ownership the Schedule G is not attached. Are you including Schedule L? If so, do you show anything on Lines 22 or 23?

What exception do I fall under for an ITIN application on W7 form if I am an international student (F1 visa) who owns 51% of a C-Corp and I need the ITIN to file 1120 Section G?

You don't need an ITIN to file a schedule G with Form 1120. You should put Foreign US in the box for identification number Part II of Schedule G. Form 1120 also does not require you the owner to have an ITIN or SSN, you just need the EIN for the corporation.Despite the above, if you are authorized to work on campus or CPT under your F1, you are eligible to get a SSN.

What is the point of an "anonymous" LLC if the EIN is attached to your own SSN?

It’s difficult to keep any information hidden from the IRS. It’s true that your SSN and name go along with the EIN application, but you will also be required to disclose your 100 percent ownership on an annual tax return. If the LLC is taxed as a C corporation, you report your 100% ownership on Schedule G of the Form 1120. If the LLC is an S corporation, you’ll report your ownership on the Schedule K-1 that is attached to the Form 1120S. Or if its a disregarded entity, you’ll report the LLC activities on a Schedule C of your Form 1040.Anonymous LLC’s have a lot of utility with respect to what is public record and readily available to just anyone with an internet connection. Some states will publish the names of the LLC owners in a public database (Florida does this). Other states (Wyoming and Delaware) don’t require you to disclose the name of the LLC owners when forming the LLC, nor is any of the information published in the state registrar. So, if you want to conceal your LLC ownership from the public, you can use one of those states to form the LLC, but the IRS will always know you own the company. Not much you can do there.
