By impliedly or expressly accepting these Terms of Use, You also accept and agree to be bound by PhonePe and PhonePe Entity Policies (including but not limited to Privacy Policy) available on the PhonePe website(s) and PhonePe App(s) as amended from time to time.Definition“We”, “Us”, “Our” - shall refer to PhonePe and PhonePe Entities.“You”, “Yours”, “Yourself”, “PhonePe User” - refers to any non-registered individual or corporate body, registered user of PhonePe and PhonePe Entities, including but not limited to PhonePe customers or Merchants.“PhonePe App” - The mobile application(s), hosted by PhonePe and PhonePe Entities for providing PhonePe services to its users, including merchants and service providers and also includes any and all Services where it acts as an Intermediary .“PhonePe Website” - Shall refer to PhonePe • UPI • India's Payments App (PhonePe • UPI • India's Payments App) , which is registered by PhonePe and used as a medium to communicate and inform users of services provided by PhonePe and PhonePe Entities, not limiting to its features, terms and conditions, Our contact details.“PhonePe Entities” - shall mean group, affiliates, associates and subsidiaries of PhonePe.‘PhonePe Platform” - Refers to any platform owned/subscribed/used by PhonePe Private Limited or any other PhonePe Entities not limited to websites, mobile applications, devices, URLs/links, notifications, chatbot, or any other communication medium used by PhonePe Entities to provide its services to its Users.“PhonePe Services” - shall include all services extended / to be extended by PhonePe and PhonePe entity as a group including but not limited to Pre-Paid Instruments, Gift cards, Payment Gateway, Recharges and Bill Payments, Insurance, Mutual Funds, Gold sale & purchase, switch interface/ access including others.“Service Providers” – Refers to any individual, group of individuals defined under law whose services are used by PhonePe or PhonePe Entities in order to provide the intended Services to You through PhonePe Platform.“Business Partners” – Shall refer to any individual, group of individuals defined under law with whom PhonePe or PhonePe Entities have a contractual relationship and not limited to Merchants, Advertisers, Deal partners, Financial institutions, switch interface partners“Participating Platforms / Merchant Partners” - Websites and Platforms that accepts permitted PhonePe Services to make a payment against products or services offered by such platforms.“Terms of use”/”Terms and Conditions” - are interchangeably used and shall have the same meaning.EligibilityBy accessing PhonePe Service and PhonePe Platforms, You represent that:-You are 18 years of age or older;You are capable of entering into a contract /legally binding agreement;You have the right, authority and capability to enter into this Agreement abiding by all the provisions of the “terms of use” of PhonePe Services.You are not barred or otherwise legally prohibited from accessing or using services of PhonePe or PhonePe Entities under the laws of India.You are not impersonating any person or entity, or falsely stating your age or affiliation with any person or entity. PhonePe and PhonePe Entities shall reserve the right to terminate your contract to use PhonePe Platform in case of any incorrect representation of the above-mentioned conditions.The mandatory information and Officially valid document(s) “OVD”/ document details mentioned by you are true & correct and belong to You.Terms of ServicePhonePe is a payment solution which facilitates payments and acts as such by creating, hosting, maintaining and providing Services to you via the Internet. PhonePe provides its Services to customers through 'PhonePe' mobile payments application (“PhonePe App”), which acts as a container for various payment instruments including but not limited to Wallet. Debit/Credit card, Unified Payment Interface (“BHIM UPI”)and External Wallets (hereinafter collectively referred to as “Services”). PhonePe provides its Services to businesses by enabling them to accept payments and services from its customers for the products and/or services on their platform via PhonePe App.PhonePe facilitates payments and services in connection with online transactions for products or services concluded on and through the PhonePe App and website, or any third party merchant app, website, physical store or any individual both within and outside the PhonePe network.By using the Services, you acknowledge and agree that PhonePe is not a bank and the Services should in no way be construed as the provision of banking services.PhonePe ServicesPhonePe and PhonePe Entities provide services via PhonePe Platform. You further agree and acknowledge the terms of use of PhonePe Services provided on PhonePe Platform.PhonePe Account (“PA”) - PhonePe Account is the account that you create when you sign-up/register with PhonePe.This account allows you to access PhonePe Platform, browse through the PhonePe Service, make payment using debit card, credit cards or net banking collectively known as (‘Payment Gateway Services’) to permissible merchants on PhonePe Platform or on Participating Platforms.You can also avail Recharge & Bill Payment facility made available to PhonePe Users under the Terms of Use of such Service.You would need to register by providing additional information in order to make payment via Unified Payment Interface (“UPI”) and Pre-Paid Instruments (“PPI”) services to make payments to merchants using these modes of payments.Access to PA enables you to browse through PhonePe Services provided by PhonePe Entities and in order to avail, enroll or use any such Service you may need to additionally register for such services by providing some more information as required under the Terms of Use of such products/services.Allows you to store your card details within our secure PCI-DSS zone for use of transactions.Allows you to share and maintain the Know Your Customer “KYC” details and information for underwriting purposes for other financial and non-financial products available on PhonePe App as Services illustrated below:PhonePe Pre-Paid Instrument (“PPI”, “PhonePe Wallet”) & PhonePe Gift Card (“eGV”)Bhim PhonePe UPI (“UPI” - Unified Payment Interface)External Wallets (“EW”)Purchase and redemption of Mutual Funds UnitsInsurance SolicitationRecharge & Bill Payments (“RBP”)Merchant Payments on PhonePe Platform (“Switch Merchants”)Any other financial product/feature that is provided on PhonePe or PhonePe entities platform, subject to regulatory provisions and permitted by PhonePe.PhonePe Pre-Paid Instrument (“PPI”, “PhonePe Wallet”) & PhonePe Gift Card (“eGV”) ; These are Payment Instruments issued by PhonePe as per Reserve Bank of India (“RBI”) directives.Bhim PhonePe UPI (“UPI – Unified Payment Interface”) ; Enables Your to make payment to a merchant or any person as permitted through Your Bank account using the UPI ecosystem.Mutual Fund distribution (“MFD”); enables You to rise request for purchase and redemption of Your Mutual Fund units.Insurance Solicitation; enables You to solicitate insurance as per Your needs.External Wallets (“EW”) ; enables You to use another authorized Payment Instrument (PPI) to make payment for goods and services on PhonePe Platform.Recharge & Bill Payments (“RBP”) ; enables You to pay Your bills or recharge Your account with listed service providers on PhonePe Platform.Merchant Payments on PhonePe Platform (“Switch Merchants”) ; Our in-app service that enables You to access merchant websites/application within PhonePe mobile application and use PhonePe or any other Payment Instruments provided by such merchants.You further agree to PhonePe Privacy Policy as applicable for PhonePe and PhonePe Entities.In order to avail PhonePe Services, you need a mobile, internet or any other supported device that meets the compatibility requirements of accessing PhonePe app and PhonePe website, which may change from time to time. PhonePe may further release updates to its application and You are required to update the PhonePe app as and when available for you, in order to continue availing PhonePe Services.You agree that your mobile device, mobile service provider or any other services that you may avail from anybody to access PhonePe Platform, may incur charges and you are solely responsible for such charges, terms of use, fees as per your agreement with the third party.Sign-Up / RegistrationIn order to use the full spectrum of PhonePe Services, You need to register on the PhonePe App and provide Us with accurate and complete information. You are also required to keep your accounts, KYC details and contact information complete and updated at all times.Once you sign-up on PhonePe, you are entitled to a Phone Account. You can also register with PhonePe from any third party merchant platform subject to certain conditions and limitations available on PhonePe website & application. Once registered with PhonePe, certain services may ask you for additional information in order or avail such service and may involve creation of sub-accounts for availing such services.The device on which You download PhonePe App and use during registration, shall become Your registered device and device details shall be stored by us. The moment You log into your PhonePe account from a different device using the PhonePe app, You will be asked to allow PhonePe to send an SMS from the new device, after which the new device becomes the registered device. You will not be able to access your PhonePe account using your previous device until you re-login and re-authorize yourself on that device.Your conduct on Website(s) and Application(s)In order to access PhonePe Services, you are required to provide information about yourself as part of the signup process, or as part of your ability to use services provided by Us. You agree that any information you provide will always be accurate, correct, and up to date and some services may require you to share additional information which might include your personal information, personal sensitive information. Your information management shall be as per PhonePe Privacy Policy .You shall promptly inform PhonePe of any unauthorized usage of your PhonePe Wallet or loss of mobile device and any other circumstances which may lead to unauthorized usage of your PhonePe Account. The responsibility of any transaction prior to intimation, will solely be on the registered User;You understand that while availing services offered by Merchants and your payment to merchants using any of PhonePe Services (Prepaid PhonePe Wallets, eGVs, Unified Payment Interface, Payment Gateway), you understand that we are not a party to the contract between you and the Merchant and act only as an Intermediary ( IT Act 2000). PhonePe does not endorse any advertiser or Merchant linked to its website or app. Furthermore, PhonePe is under no obligation to monitor the Merchant's service used by you; the Merchant alone will be responsible for all obligations under the contract including (without limitation) warranties or guarantees. Any dispute with or complaint against any Merchant must be directly resolved by you with the Merchant. It is clarified that PhonePe shall not be responsible or liable for any deficiency in goods and/or services purchased using PhonePe Wallet balance. You are instructed to satisfy yourself regarding the quality, quantity and fitness of any good and/or service before purchasing the same.You agree that in case any amount is transferred erroneously by You to any Merchant, Participating Platforms or any other person, PhonePe shall not be liable to refund such amount to You under any circumstances.You further agree that Any web-link on the website to a third-party site is not an endorsement of that web-link. By using or browsing any such other web-link, you shall be subject to the terms and conditions in each such web-link.You agree that if You provide any information that is incorrect, inaccurate, not current or incomplete or We have reasonable grounds to suspect that such information is incorrect, inaccurate, not current or incomplete, or not in accordance with the this Terms of Use, We shall have the right to indefinitely suspend or terminate or block access PhonePe Platform and/or take necessary steps in accordance with applicable Law without any further notice.You are responsible for maintaining the confidentiality of any login information and secure access credentials associated with your PhonePe account. Accordingly, you are responsible for all activities that occur under your account/is using your secure credentials and PhonePe shall not be liable for any such change or action performed by using your secure credentials on PhonePe Platform.Attempting to access PhonePe Platform using any other means apart from ones provided by Us is strictly prohibited and shall be deemed unauthorized access, whether attempted or accessed through any automated, unethical or unconventional means. Further you should not directly or indirectly engage in any activity using device, software or any routine process that disrupts or interferes with our ability to service you or any other user(s) on PhonePe Platform, including the servers and/or networks to which our resources are located or connected. You are solely responsible for any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by You, as explained above, and may incur criminal or civil liability.You shall not use any "deep-link", "page-scrape", "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual or digital process, to access, acquire, copy or monitor any portion of the PhonePe Platform or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the PhonePe Platform or any content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the PhonePe Platform.You shall not probe, scan or test the vulnerability of the PhonePe Platform or any network connected to the Us, You may not reverse look-up, trace or seek to trace any information on any other User of or visitor to PhonePe Platform, or any other customer, including any account on the PhonePe Platform not owned by You, or exploit the PhonePe Platform or any PhonePe Service or information made available or offered by or through the PhonePe Platform, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than Your own information, as provided for by the PhonePe Platform.You further agree that -In the event of any dispute, PhonePe records shall be binding as the conclusive evidence of the transactions carried out through use of PhonePe Services.PhonePe shall send all customer communications by SMS and/or email and they shall be deemed to have been received by You after they have been submitted for delivery to the SMS/email service providers.Agree to receive all commercial messages including transactional messages from PhonePe/ Merchant.To use the PhonePe Services in good faith and in compliance with all applicable laws and regulations.You would be solely responsible for payment of any taxes, duties or other governmental levies or any financial charges that may be imposed on any products or services purchased or supplied by a Merchant or otherwise arising from online transactions.ensure that the PhonePe Services are not used for transactions in foreign currency, unless permitted for any PhonePe Service.Single Sign On (SSO)By registering and signing into PhonePe Account, We create an username and secure access credentials for You to access PhonePe services on PhonePe Platform and other participating platforms. For convenience, PhonePe creates Single Sign On Service (P-SSO), which helps you access PhonePe Services available on PhonePe Platform and other participating platforms.You understand that P-SSO will be used to register and access PhonePe Services and the credentials you share as part of the registration process would be owned and managed by PhonePe and will be shared with PhonePe Entities upon Your request or simply by accessing any PhonePe Services provided by them.P-SSO, with your authorization can be used to access or register on the switch interface with “Switch Merchants”, However, your secure credentials would not be shared with any “Switch Merchants”. You can use your P-SSO in order to access your PhonePe Account or pay using permissible PhonePe Services on participating platforms without logging into your PhonePe App.You further agree that PhonePe shall share some limited information provided by you except your secure access credentials to participating platforms as necessary for P-SSO login at participating platforms.You shall not share the P-SSO credentials with any third party website, portal, person over any communication medium and you understand that your PhonePe account can be misused due to unauthorized disclosure of P-SSO.You hereby agree and acknowledge that in the event of non- compliance of the Terms of Use for usage and access to Single-Sign-On Services, PhonePe has the right to terminate Your access or access usage limits on Phone account and services without further notice.Third Party terms and conditionsPhonePe and PhonePe Entities, may provide third party services via PhonePe Platform. You understand that We do not own those services and you may need to accept their respective terms and conditions, ane may require to share additional information in order to avail such products/services provided by third parties on PhonePe Platform PhonePe does not hold any Liability on the information collected from You by third party website or application and We cannot indemnify You for any third party actions.OffersPhonePe or PhonePe Entities may invite you to participate in any offer from time to time. You agree that participating in such an offer is subject to your agreement to the respective offer terms and conditions. You also understand that the offers might be provided by third parties on PhonePe Platforms and you may require to agree to respective terms and conditions of third parties. You further agree that offers provided to any user may vary from user to user.PhonePe reserves the right to disqualify You from any offer in case you do not meet the eligibility criteria for such an offer or any other reasons thereof including but not limited to misuse of offer, misrepresentation, fraud or suspicious transactions/activities, including but not limited to PMLA directives or any at our sole discretion without further notice.CommunicationPhonePe and PhonePe entities may communicate with you on the contact information that you may have provided to Us during the course of your engagement, including but not limited to signup, transacting or availing any third party products or services on PhonePe Platform.We will send you communication alerts via emails or SMS or push notifications or via other progressive technology. You also agree that there can be disruption in communications due to factors that are not under Our control, including but not limited to Your Phone being switched off, incorrect email address, network interruptions. You agree not to hold PhonePe liable for non-delivery for any alert or any loss suffered by you due to delay, distortion or failure of communication.You further acknowledge that you are responsible for the contact details shared with Us and shall update us on any change on your contact details. You authorize Us to contact you and communicate with you for any PhonePe Service or Offer(s). We may use third party service providers to send alerts or communicate with you. You authorize PhonePe and PhonePe Entities to override the DND settings to reach out to you over calls, SMS, emails and any other mode of communicationIntellectual Property RightsIntellectual Property Rights for the purpose of this Terms of Use shall always mean and include copyrights whether registered or not, patents including rights of filing patents, trademarks, trade names, trade dresses, house marks, collective marks, associate marks and the right to register them, designs both industrial and layout, geographical indicators, moral rights, broadcasting rights, displaying rights, distribution rights, selling rights, abridged rights, translating rights, reproducing rights, performing rights, communicating rights, adapting rights, circulating rights, protected rights, joint rights, reciprocating rights, infringement rights. All those Intellectual Property rights arising as a result of domain names, internet or any other right available under applicable law shall vest in the domain of PhonePe or PhonePe entities as the owner of such domain name. The Parties hereto agree and confirm that no part of any Intellectual Property rights mentioned hereinabove is transferred in the name of User and any intellectual property rights arising as a result of these presents shall also be in the absolute ownership, possession and Our control or control of its licensors, as the case may be.All material on this PhonePe website and mobile application, including images, illustrations, audio clips, and video clips, are protected by copyrights, trademarks, and other intellectual property rights of PhonePe, PhonePe Entities or Business Partners. Material on Website is solely for Your personal, non-commercial use. You must not copy, reproduce, republish, upload, post, transmit or distribute such material in any way, including by email or other electronic means and whether directly or indirectly and You must not assist any other person to do so. Without the prior written consent of the owner, modification of the materials, use of the materials on any other platform or networked computer environment or use of the materials for any purpose other than personal, non-commercial use is a violation of the copyrights, trademarks and other proprietary rights, and is prohibited.Use of Group Companies:You understand and agree that PhonePe and PhonePe Entities reserve the right to use the services of themselves to provide any of the mentioned PhonePe Services to you within PhonePe Platforms.TerminationYou agree that PhonePe at its sole discretion may terminate your contract without prior notice and restrict your access to PhonePe application if We determine that You have violated the terms of use and You consent that in case PhonePe suffers losses, not limited to monetary losses, due to Your actions, We can take injunctive relief or any other legal action as deemed necessary within the said circumstances and PhonePe is not liable for any loss to You due to termination.Limitation of LiabilityFinancial and non-financial transactions performed by You on PhonePe Platform is always processed by You or under Your exclusive authorization.In no event will PhonePe be liable for any indirect, consequential, incidental, special or punitive damages, including without limitation damages for loss of profits or revenues, business interruption, loss of business opportunities, loss of data or loss of other economic interests, whether in contract, negligence, tort or otherwise, arising from the use of or inability to use the Services, however caused and whether arising in contract, tort, negligence, warranty or otherwise, exceed the amount paid by You for using the Services giving rise to the cause of action or Rupees One Hundred (Rs. 100) whichever is less.IndemnificationYou shall indemnify and hold harmless PhonePe, PhonePe Entities, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys' fees, made by any third party or penalty imposed due to or arising out of Your breach of this Terms of Use, privacy Policy and other Policies, or Your violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party.Force MajeureA Force Majeure Event shall mean any event that is beyond the reasonable control of the PhonePe and shall include but not limited to war, riots, fire, flood, acts of God, explosion, strikes, lockouts, slowdowns, prolonged shortage of energy supplies, Pandemic, computer hacking, unauthorized access to computer data and storage devices, computer crashes ,acts of state, governmental, legal or regulatory actions prohibiting or impeding PhonePe Entities from performing its respective obligations under the contract.Dispute, Governing Law & JurisdictionThis Agreement and the rights and obligations thereunder and the relations of the parties and all matters arising under or in connection with this Terms of Use, including the construction, validity, performance or termination thereunder, shall be governed by and construed in accordance with the laws of the Republic of India. Subject to and without prejudice to the amicable settlement, the courts in Bengaluru, Karnataka shall have exclusive jurisdiction to try and adjudicate all matters arising in connection with your use of the PhonePe Services /PA or other matters covered herein.Disputes or differences or concerns if any should be raised within 30 days of happening or non-happening of an event related to PhonePe Services, except in case of unauthorised transactions on Your PhonePe Wallet/eGV, which shall be reported by You as soon as You identify the issue and investigation for such disputes is subject to terms of use of PhonePe PPI (“PhonePe Wallet”/”eGV”)DisclaimersAs part of this continual innovation and improvement, we sometimes may add or remove features and functionalities, increase, or decrease limits to our PhonePe Services, start offering new services or stop offering old ones on PhonePe Platforms. Such offering can also be due to discontinuation of any service or offering on PhonePe Platform by third party service providers or business partners.We may record or monitor Our conventions with You for records and monitoring quality of our conversations.Any content downloaded or otherwise obtained through the use of our Platform is done at your own discretion and risk, and We cannot confirm that such documents or contents are error or virus free and You understand and acknowledge that you are solely responsible for any damage to your devices, for any loss of data that may result from the download of such contents.PhonePe and third-party partners make no warranty, express or implied regarding the quality of Services including but not limited to:the Services will meet your requirements;the Services will be uninterrupted, timely or error free; orany products, information or material obtained by You in connection with the services will meet Your requirements.Except as expressly provided herein and to the full extent permitted by law, the PhonePe Services are provided "as is", "as available" and "with all faults". All such warranties, representations, conditions, undertakings and terms, whether express or implied, are hereby excluded. This document shall be read in conjunction with Phone Pe ToU.IntroductionThe Unified Payments Interface (BHIM UPI) is a payment platform built by NPCI (National Payments Corporation of India) that allows instant online payments between the bank accounts of any two parties’. BHIM UPI offers an architecture and a set of standard API specifications to facilitate these online payments. It aims to simplify and provide a single interface across all NPCI systems besides creating interoperability and superior customer experience.These terms and conditions regulate the payments under the Unified Payment Interface (“BHIM UPI”), a payment service platform (“Platform”) developed by National Payments Corporation of India (“NPCI”), an umbrella organisation incorporated in 2008 and acting as the settlement/clearing house/regulatory agency for BHIM UPI services. The application software (“PhonePe App”) which connects the Platform is being offered by PhonePe Private Limited (“PhonePe”) a company incorporated under the Companies Act, 1956 with its registered office at Unit No.001, Ground Floor, Boston House, Suren Road, Off. Andheri-Kurla Road, Andheri (East) Mumbai – 400 093, India (hereinafter referred to as "PhonePe") through notified Payment Service Provider Banks (“PSP”). The BHIM UPI services (“Services”) are being offered under the brand “PhonePe”.PhonePe Private Limited (“PhonePe”) is a TPAP authorized by NPCI to facilitate payments through sponsor PSP Bank(s) namely Yes Bank Ltd. and ICICI Bank Ltd. PhonePe is a service provider in the UPI payment ecosystem and We participate in UPI through the PSP Banks.Definitions“NPCI” - NPCI is an authorized payment system operator by RBI. NPCI owns and operates the UPI payment system.“BHIM-UPI” - Unified Payment Interface, as defined by NPCI under respective directives and notifications.“PSP Bank” - PSP is the banking company authorized to act as a Payment Service Provider (PSP) under the UPI framework. PSP engages the TPAP to provide UPI services to the end-user customers.“TPAP” - Third Party Application Provider (TPAP) is an entity that provides the UPI compliant app(s) to the end-user customers to facilitate UPI based payment transactions.“Customer’s Bank” - The Bank where the end-user customer maintains his/her account that has been linked for the purpose of debiting/crediting the payment transactions made through UPI.“You”, “Yours”, “Yourself”, “end user customer”, “user” - is the individual who uses UPI payment facility to send and receive payments and avails UPI facility by inking their Bank Account(s).“We”, “Our”, “Ourselves”, “PhonePe” - Refers to PhonePe Private Limited.“PhonePe App” - The mobile application(s), hosted by PhonePe and PhonePe Entities for providing PhonePe services to its users, including merchants and service providers.‘PhonePe Platform” - Refers to any platform owned/subscribed/used by PhonePe Private Limited or any other PhonePe Entities not limited to websites, mobile applications, devices, URLs/links, notifications, chatbot, or any other communication medium used by PhonePe Entities to provide its services to its Users.“PhonePe Services” - shall include all services extended / to be extended by PhonePe and PhonePe entity as a group including but not limited to Pre-Paid Instruments, Gift cards, Payment Gateway, Recharges and Bill Payments, Insurance, Mutual Funds, Gold sale & purchase, switch including others.“Bank Account / Payment Account”- Any bank account or any other payment accounts offered by a regulated entity where money can be held, money can be debited from, and can be credited to.“VPA” - unique Virtual Payment Account, registered with NPCI that can be linked with your Bank account.“UPI PIN”- Personal Identification Number which is used as authorization credentials by the Issuer Bank for debiting a customer's account. It will be 4-6 digits numeric PIN only.RegistrationPhonePe UPI is offered via PhonePe App to its registered users having PhonePe account. UPI is a qualified PhonePe service and you need to have Your own Bank Account linked with Your active mobile number in order to register and access to PhonePe UPI.The registration process is a standard process which is defined and governed by NPCI under UPI guidelines and may change from time to time. PhonePe in the capacity of TPAP is responsible for implementing the process as notified by NPCI from time to time. You understand that the registration process may include access to Your mobile network and sending an unique SMS using your Phone to verify, validate, register and link Your Bank Account on UPI Platform and create an unique Virtual Account Number (“VPA”).PhonePe does not store the Bank Account number linked to Your VPA. Further, VPA can be used to:Pay at merchant locations using QR code through your PhonePe App.Online through certain merchant websites.For making payment for PhonePe Services as permitted by the regulators and BHIM Payment System Providers.The details provided by You as part of the UPI registration process, which includes your Banking Information, shall be shared and maintained at PSP Bank’s and NPCI’s secure library and You consent to share and authorize PSP Bank and NPCI to maintain this data.TransactionsPhonePe BHIM UPI can be used for Person to Person money transfers or to purchase products and services online or offline on any Merchant platform. Your BHIM UPI PIN needs to be entered on Your mobile to authorize every PhonePe BHIM UPI payment. You need to ensure that You are connected to the internet at the time of making any transaction. However, this facility may not be extended by PhonePe or PhonePe Entities for all transactions.While making Payments for PhonePe Services on PhonePe Platform, you may make Payments using BHIM PhonePe UPI in case your balances on other payment instruments, including PhonePe PPI wallet or Gift card is not sufficient to process such transaction.BHIM PhonePe UPI is one of the payment options available to You on various Merchant platforms and We assume no responsibility for the products / services purchased using BHIM PhonePe UPI and any liability thereof is expressly disclaimed.BHIM UPI transactions are subject to minimum and maximum transaction limits that may be set by PhonePe, User, Issuer Bank, the Payment Participants or as may be prescribed under the provisions of Applicable Law. Further, PhonePe, Bank - PSP or other Payment Participants may also reject/suspend Transactions (in whole or in part)based on their respective policies and assessment.Your transaction records can be reviewed within the PhonePe App - “History” section. You are required to review all transactions and in case you identify any error or unauthorised transaction, you are requested to notify this as per the notified Dispute Redressal Mechanism.Charges:PhonePe does not charge its Users any fee for creating an Account, however, We reserve the right to change its fee policy from time to time. We may introduce fees for any new services or amend/introduce fees for existing services, as the case may be. Changes to the fee(s) shall be displayed accordingly to You via website/app and such changes shall automatically become effective immediately after they are posted. Unless otherwise stated, all fees shall be quoted in Indian Rupees.Your bank may charge you a nominal transaction fee for BHIM UPI transfers- please check with your bank for any such charges.Transaction Monitoring:PhonePe may review your activity and transactions on PhonePe and PhonePe entities for identifying high risk transactions. We may also engage Third Party Providers to assist Us in these efforts. In case, transactions processed by you or any other activity that We believe may be suspicious or unusual, we may temporarily or permanently suspend your access to BHIM PhonePe UPI services.Your transaction may be rejected due to reason not limited to risk management, suspicion of fraudulent, illegal Transactions, selling of prohibited items, use of compromised or blacklisted cards or BHIM UPI accounts, chargebacks/complaints or for other reasons as prescribed in the Payment Participant Rules. We may further investigate and may suspend or terminate your PhonePe account, report the transaction and your account details to legal enforcement agencies or other regulatory authorities as applicable or notified by law.User Responsibility & ObligationsWhile your register and transact on using Bhim PhonePe UPI, You are required to ensure the following -You are solely responsible for linking Your correct bank account.Since Your mobile number is treated as the primary identifier, Your mobile number needs to be updated with the bank linked to PhonePe App in case of any changes.If You change the mobile number registered with Your PhonePe Account, You will have to re-register your new mobile number with PhonePe. To re-enable the Service, you need to register your new mobile number with your bank as well.You are solely responsible to keep Your OTP, BHIM UPI PIN and bank account related details confidential. Sharing such information with others may lead to unauthorized usage, for which PhonePe shall not be responsible.You shall take full responsibility of the payment request that you make and authorize on BHIM PhonePe UPI, including addition of beneficiary, typing and reviewing VPAs and validating intended recipients and We do not take correctness of information that you enter during payment processing, including authorization.You agree that if You provide any information that is untrue, inaccurate, not current or incomplete or We have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with the Terms of Use, We shall have the right to indefinitely suspend or terminate or block access to Your Account.We shall ensure that all your confidential data pertaining to your money transactions, bank account details, and all other sensitive personal information are protected and kept confidential by employing best available protection standards, which are more fully set out in our Privacy Policy.You agree that BHIM PhonePe UPI, PSP or any other system participant in BHIM UPI Payment System shall not be liable for any delay in the completion of the funds transfer or any loss on account of error in the execution of the funds transfer by you.You are required to ensure availability of sufficient funds in BHIM PhonePe UPI linked Bank Account(s) in order to avoid transaction declines and charges if any accessed by your issuer Bank.UPI Participant’s Roles and ResponsibilitiesNPCI:NPCI owns and operates the Unified Payments Interface (UPI) platformNPCI prescribes rules, regulations, guidelines, and the respective roles, responsibilities and liabilities of the participants, with respect to UPI. This also includes transaction processing and settlement, dispute management and clearing cut-offs for settlement.NPCI approves the participation of Issuer Banks, PSP Banks, Third Party Application Providers (TPAP) and Prepaid Payment Instrument issuers (PPIs) in UPI.NPCI provides a safe, secure and efficient UPI system and network.NPCI provides online transaction routing, processing and settlement services to members participating in UPI.NPCI can, either directly or through a third party, conduct an audit on UPI participants and call for data, information and records, in relation to their participation in UPI.NPCI provides the banks participating in UPI access to system where they can download reports, raise chargebacks, update the status of UPI transactions etc.PSP BankPSP Bank is a member of UPI and connects to the UPI platform for availing UPI payment facility and providing the same to the TPAP which in turn enables the end-user customers / merchants to make and accept UPI payments.PSP Bank, either through its own app or TPAP’s app, on-boards and registers the end-user customers on UPI and links their bank accounts to their respective UPI ID.PSP Bank is responsible for authentication of the end-user customer at the time of registration of such customer, either through its own app or TPAP’s app.PSP Bank engages and on-boards the TPAPs to make the TPAP’s UPI app available to the end-user customers.PSP Bank has to ensure that TPAP and its systems are adequately secure to function on UPI platform.PSP Bank is responsible to ensure that UPI app and systems of TPAP are audited to safeguard security and integrity of the data and information of the end-user customer including UPI transaction data as well as UPI app security.PSP Bank has to store all the payments data including UPI Transaction Data collected for the purpose of facilitating UPI transactions, only in India.PSP Bank is responsible to give all UPI customers an option to choose any bank account from the list of Banks available on UPI platform for linking with the customer’s UPI ID.PSP Bank is responsible to put in place a grievance redressal mechanism for resolving complaints and disputes raised by the end-user customer.PhonePe (TPAP):PhonePe is a service provider and participates in UPI through PSP Bank.PhonePe is responsible to comply with all the requirements prescribed by PSP Bank and NPCI in relation to TPAP’s participation in UPI.PhonePe is responsible to ensure that its systems are adequately secure to function on the UPI platform.PhonePe is responsible to comply with all applicable laws, rules, regulations and guidelines etc. prescribed by any statutory or regulatory authority in relation to UPI and PhonePe’s participation on the UPI platform including all circulars and guidelines issued by NPCI in this regard.PhonePe has to store all the payments data including UPI Transaction Data collected by TPAP for the purpose of facilitating UPI transactions, only in India.PhonePe is responsible to facilitate RBI, NPCI and other agencies nominated by RBI/ NPCI, to access the data, information, systems of PhonePe related to UPI and carry out audits of PhonePe, as and when required by RBI and NPCI.PhonePe shall facilitate the end-user customer with an option to raise grievance through the PhonePe’s grievance redressal facility made available through PhonePe UPI app or website and such other channels as may be deemed appropriate by the PhonePe like email, messaging platform, IVR etc.Dispute & GrievancePhonePe has tripartite contractual agreements with sponsor PSP Banks and NPCI and we are obligated to facilitate grievances / complaints resolution of the customers onboarded on our UPI application.We shall be the first point of contact for all UPI related grievances/complaints for customers on- boarded by us. In case the complaint/grievance remains unresolved, the next level for escalation will be the PSP Bank, followed by the bank (where you maintain the account) and NPCI in the same order. After exercising these options, you can approach the Banking Ombudsman and / or the Ombudsman for Digital Complaints, as the case may be.Dispute Redressal MechanismYou can raise a complaint with respect to a UPI transaction, on the PhonePe app.You can select the relevant UPI transaction and raise a complaint in relation thereto.You can raise a complaint with PhonePe with respect to all UPI related grievances / complaints if the UPI transaction is made through PhonePe app. In case the complaint / grievance remains unresolved, the next level for escalation will be the PSP Bank, followed by the bank (where you maintain your account) and NPCI, in the same order. After exercising these options, you can approach the Banking Ombudsman and / or the Ombudsman for Digital Complaints, as the case may be.The complaint can be raised for both the types of transactions i.e. fund transfer and merchant transactions.You shall be kept communicated by PhonePe by means of updating the status of your complaint on PhonePe App or any other means such as Email, TelephoneUse of Group CompaniesYou understand and agree that PhonePe and PhonePe Entities reserve the right to use the services of themselves to provide any of the mentioned PhonePe services to you within PhonePe Platforms.Indemnity & LiabilityIn no event will PhonePe be liable for any indirect, consequential, incidental, special or punitive damages liabilities (including statutory), including without limitation damages for loss of profits or revenues, business interruption, loss of business opportunities, loss of data or loss of other economic interests, whether in contract, negligence, tort or otherwise, arising from the use of or inability to use the BHIM PhonePe UPI Facility.You shall indemnify and hold harmless PhonePe, PhonePe Entities, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys' fees, made by any third party or penalty imposed due to or arising out of Your breach of this Terms of Use, privacy Policy and other Policies, or Your violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party.TerminationYou agree that PhonePe at its sole discretion may terminate Your contract without prior notice and restrict your access to PhonePe application if We determine that your have violated the terms of use and You consent that in case PhonePe suffers losses, not limited to monetary losses, due to Your actions, We can take injunctive relief as deems necessary within the said circumstances. We may also suspend services or terminate Your contract in case of violation of User conduct of PhonePe Platforms as defined by PhonePe and PhonePe entities.You may note that PhonePe shall retain your registration information, VPAs, transactional information or any other information that We are permitted to store as permitted under the BHIM UPI Payment System for the duration as specified in regulations or notified by NPCI from time to time even after termination of contract.Governing LawThis agreement and the rights and obligations thereunder and the relations of the parties and all matters arising under or in connection with this Terms of Use, including the construction, validity, performance or termination thereunder, shall be governed by and construed in accordance with the laws of the Republic of India. The courts in Bengaluru, Karnataka shall have exclusive jurisdiction over all matters connected with the Services.DisclaimersYou understand that the terms of availing of UPI facility using NPCI Platform, PSP and PhonePe shall not create any contractual obligation against any NCPI system participants and downloading or using the PhonePe App does not automatically entitle You for Bhim PhonePe UPI facility.We do not make any warranties and make no representation about the quality and availability of BHIP UPI facility.We endeavor to execute and process transactions as per the defined process, however, We shall not be held responsible for any non-responsiveness, delay, failure of systems or any other circumstances that might not be in our control.Your transaction records and other logs maintained with Us shall be final and binding as a proof of this facility and transactions.PhonePe Prepaid Payment Instrument (“PPI”) Terms of UseThis document is an electronic record in terms of Information Technology Act, 2000, amendments thereof from time to time and the rules thereunder as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. PhonePe shall not be liable for incorrect documents/information and declarations and retains the right to refuse activation and right to deactivate of Your PhonePe Wallet and report such incident to Legal Enforcement Agencies (LEAs) and the regulator(s) as per extant directives.We may review the data/information provided by you and undertake appropriate due-diligence, including risk management before issuing PhonePe Wallet as per the extant regulatory directives issued by RBI or any other regulator, such as RBI’s Know Your Customer (“KYC”), Prevention of Money Laundering Act (“PMLA”), RBI’s directives on PPI issuance and operation and other directives that are notified by the regulator from time to time and applicable to PhonePe Wallet. We may also fetch data from other sources available in public or through our business partners or service providers which may pertain to You as part of due diligence and risk management.We may appoint associates or agents to collect Your KYC information/data as part of PhonePe Wallet application, upgrade or risk assessment.PhonePe WalletsPhonePe issues semi-closed PPI wallets and Gift Instruments to PhonePe account holders. This section refers to the different categories of Semi-Closed Wallets issued by Us, is according to the regulatory directives issued by RBI Master Direction on Issuance and Operation of Prepaid Payment Instruments, dated October 11, 2017 (“PPI-MD”), and subsequent updates.Reloadable PPIMinimum Details Prepaid InstrumentPhonePe Wallets issued under this category are governed by Section 9.1(iii) of PPI-MD with the features and limitations mentioned herein.In order to avail this PhonePe Wallet, You shall have an active mobile number issued by Indian telecom service providers, Your shall provide a self-declaration of your Name and unique identity/identification number of any ‘mandatory document’ or ‘Officially Valid Document’ (“OVD”) listed in the Master Direction of KYC. PhonePe shall provide You list of acceptable documents as part of your application process.Your PhonePe Wallet is reloadable and issued in electronic form. Loading is permissible using Your Bank account and / or Credit Card permitted by the regulator from time to time and as per PhonePe’s internal policies.Loading limits shall apply to Your PhonePe Wallet, with a Monthly limit of Rs, 10,000/- and an annual limit (Financial Year) of Rs. 1,20,000/-. Further, Your PhonePe Wallet balance shall be limited to Rs. 10,000/- at any point in time and You may not be allowed to add funds in case Your PhonePe limits are triggered except in case of refunds on cancelled transactions, wherein the balance may be higher than the limit of Rs. 10,000/-.While You can use Your PhonePe Wallet for purchase of goods and services on merchants that accept PhonePe Wallet with a debit limit of Rs. 10,000/- per month, You cannot transfer Your PhonePe Wallet balance to any other PhonePe Wallet user not can withdraw the funds to a bank account or a credit card, except for any specific conditions specified by the regulator.PhonePe wallet is one of the payment options available to You while making payment to a Merchant / Merchant platform and We take no responsibility for the products purchased or services availed using the PhonePe wallet and any liability thereof is expressly disclaimed. User can pay directly from his/her PhonePe account linked bank account, if:The order value exceeds the available amount in the PhonePe Wallet; orThe User has exceeded his/her limit for Purchases using the PhonePe Wallet.PhonePe shall communicate the features of PhonePe Wallet at the time of wallet issuance by SMS/e-mail/link to terms and conditions or any other means.You shall use your P-SSO to login and access Your PhonePe Wallet. We may ask/provide you additional security measures in order to access Your PhonePe Account.PhonePe also allows you an option to fix a cap on transactions that You want to perform on PhonePe Wallet, and You can change it with an additional factor or authorization at any point in time.The features and limits mentioned herein are subject to PhonePe’s internal risk assessment and We may reduce load and spend limits, apply cooling period on Your PhonePe Wallet after fresh loading of funds and restrict spending on certain merchants, restrict You to access Your PhonePe Wallet or report Your account to Legal Enforcement Agencies (“LEA”) or other regulators. You understand that We may or may not communicate the above action to you. This is part of our transactional risk management practice to keep Your PhonePe Wallets and ecosystem secure for our users and merchants.In case You had PhonePe Wallet prior to December 24, 2019, You consent you’re your PhonePe Wallets shall be migrated to this category as per the extant guidelines and You shall continue to use Your PhonePe Wallet with the above defined feature and limits. However, You may choose to opt-out of this category of PhonePe Wallet within 5 days from the migration notification from PhonePe. As permitted by PhonePe, You may also upgrade Your Minimum Details PhonePe Wallet into KYC Compliant PhonePe Wallet (“PhonePe KYC Wallet”) by providing requisite documentation as per the process defined by PhonePe.In order to avail this PhonePe Wallet, You shall have an active mobile number issued by Indian telecom service providers, and shall undergo KYC process as per the ‘Know Your Customer (KYC) / Anti-Money Laundering (AML) / Combating Financing of Terrorism (CFT) guidelines issued by the Department of Banking Regulation (DBR), RBI, in their “Master Direction – Know Your Customer (KYC) Directions” updated from time to time and process defined by PhonePe based on the regulatory directions.The KYC requirements are defined by the regulator(s) and are updated from time to time and may involve fetching Your KYC data from various sources permitted by the regulator. In such a case, You shall authorize PhonePe to fetch that data and agree to the terms and conditions of Your KYC service provider and it’s data sharing terms. For example, We may enable You to share Your KYC documents via the e-KYC process or Offline Aadhaar verification process of the UIDAI or You may share Your KYC data stored in Your DigiLocker, maintained by MeiTY with Us as part of the KYC process, and any other evolving and permissible source, subject to We enabling such provisions for KYC.By Providing Your KYC documents and information required as part of the KYC process, may not entitle You to avail a PhonePe KYC Wallet, since the data provided by You shall be validated and reviewed as per the extant regulations and directives mentioned in point “a.” above before issuing PhonePe KYC Wallet. PhonePe Wallet under this category shall be issued only after completing the KYC process as mentioned above.Your PhonePe KYC Wallet is reloadable and issued in electronic form. Loading is permissible using Your Bank account and / or Credit Card permitted by the regulator from time to time and as per PhonePe’s internal policies.You will be able to load money in PhonePe KYC Wallet within the regulatory permissible limits or any limits applied on the basis our internal risk policies. The available balance in Your PhonePe KYC Wallet shall however not exceed INR 100,000/- (Rupees One Lakh) at any given point of time. Money can be topped-up through BHIM UPI, or a debit/credit card, or from refunds that might arise due to cancellations and returns of your transactions on PhonePe application or on Merchant Platforms.You can transfer funds from Your PhonePe KYC Wallet to any Bank account of a pre-registered beneficiary. In case of such pre-registered beneficiaries, the funds transfer limit shall not exceed Rs.1,00,000/- per month per beneficiary.PhonePe KYC Wallet can be used to purchase products and services online or offline on any Merchant platform. User can pay directly from his/her PhonePe account linked bank, if:The order value exceeds the available amount in the PhonePe KYC Wallet; orThe User has exceeded his/her limit for Purchases using the PhonePe KYC Wallet.PhonePe shall communicate the features of PhonePe KYC Wallet at the time of wallet issuance by SMS/e-mail/link to terms and conditions or any other means.You shall use your P-SSO to login and access Your PhonePe KYC Wallet. Basis our continuous transaction monitoring, We may place a hold on the Transaction, block or reject transaction and may also temporarily block you PhonePe Wallet or eGV or Account and ask You for more information on You and Your funding source before releasing / reinstating Your account/transaction. You shall also note that, Your account could also be temporarily or permanently blocked basis abuse against any employee, company, or incorrect declaration by any customer or merchant and We shall not be liable for any loss caused to You due to this while we investigate Your account.You agree and understand that the PhonePe, based on its internal policies, regulatory and statutory guidelines may report transactions to appropriate authorities in case such transaction is classified as suspicious or fraudulent and We shall not be made liable for any loss caused to You for such obligatory reporting by Us, even if any such transaction is found to be regular and lawful at a later stage.While executing any transaction, You must ensure the availability of sufficient funds On Your PhonePe Wallet / eGV or other sources of funds that You use to execute any transaction.You understand that the services offered by PhonePe on PhonePe application use internet connection, service providers apart from PhonePe application to successfully execute Your transactions and We shall not be take any responsible on any liability arising from including but not limited to any loss or interruption of the Services or the unavailability of Services due to a mobile or internet not supporting, non-responsiveness Merchant websites or applications.You understand that the information that You share for availing services might be shared with third parties inter alia, to facilitate the provision of the Services and in such case, data policies of service providers shall also apply to such transactions and You are required to update Yourself of their policies and You acknowledge that You understand that PhonePe would not have any control on data sharing and use in such case.You further agree and acknowledge that Your bank/financial institution may access fee(s) or charge(s) against such transactions and PhonePe shall not be liable to acknowledge or refund such fee(s) charges and shall be borne You in all circumstances.Funds loaded into Your PhonePe Wallet or eGV and spent on PhonePe application or partner merchants for services offered by them are conducted over the internet and involve multiple stakeholders not limited to You Bank, Service Providers, Internet services, telecom operator etc. You understand that transaction confirmations and acknowledgements may not always reflect service delivery due to the possibility of failures at multiple points. In such cases, PhonePe is not liable for any loss caused due to inefficiencies / process failures at other such stakeholders and PhonePe shall credit the funds or recover the funds from You in such cases and shall apply appropriate limits/orders on Your PhonePe Wallet / eGV or Account accordingly at its own discretion and can take appropriate legal actions to collect the amount due, to the extent allowed by Applicable Law.You can view Your PhonePe Wallet and eGV transaction in Your PhonePe app and can also review transactions for at least 6 (six) months.All categories of PhonePe Wallets and eGVs are non-transferable in nature, except the ones that are unclaimed and No interest is payable on the outstanding Wallet balances.Your account is secured and any transaction that is processed on Your PhonePe Wallet / eGV shall be authorized by You explicitly or processed via RBI notified debit mandates authorised by You on Your PhonePe Wallet and permitted by PhonePe.While You can purchase multiple eGVs as permitted by PhonePe from time to time. Any suspected violation of this condition shall constitute grounds for suspension of Your access to Your PhonePe Wallet / eGVs or PhonePe account.While, the continued availability of the PhonePe Wallet shall be subject to the requirements under law, regulations or directions connected to Semi-closed prepaid payment instruments, PhonePe reserves the right to suspend/discontinue the Wallet at any time, for any cause, including, but not limited, to the following-For any suspected violation of the rules, regulations, orders, directions, notifications issued by RBI from time to time or for any violation of any PhonePe Terms;any suspected discrepancy in Your particular(s), KYC documentation or information provided by the You; orto combat potential fraud, sabotage, willful destruction, threat to national security or for any other force majeure event; orPhonePe in its sole opinion and discretion believes that cessation/ suspension of Your PhonePe Wallet is necessary for any other legitimate purpose.You agree that, upon any closure or winding up of the Prepaid Payment Instrument as notified by the regulator or due to any other circumstances provided under law, You may redeem the outstanding balance in Your PhonePe Wallet/eGV or transfer the same to any prepaid payment instrument or bank account held/maintained by you with any third party with in such time as may be determined by PhonePe, failing which, PhonePe may transfer the balance in Your Prepaid Payment Account to Your another prepaid payment instrument issued by such entity having authorisation from RBI and with which PhonePe has made appropriate arrangements.Refund and cancellationAll payments made through PhonePe Wallet/eGV for mobile/ DTH recharge, bill pay, P2P transfers or any other payment processed by You on PhonePe Platform or Merchant partners accepting PhonePe Wallet (including eGVs) as a payment option shall be final and PhonePe shall not be responsible for any error and omission by You or Merchant partners. Such transactions cannot be refunded, returned or cancelled once initiated.If you erroneously processed a payment to the unintended merchant or processed a payment for the wrong amount (for instance a typographical error at your end) Your only recourse will be to contact the merchant directly to whom you have made the payment and ask them to refund the amount. PhonePe shall not be able to handle such disputes, not can We reimburse you or reverse a payment that you have erroneously made.In case We receive a refund for a transaction which You have processed earlier, we would refund the funds back to the source, including PhonePe Wallet/eGV unless specified or directed by your otherwise.In case of any cancellations, the cashback (in form of eGV) given on the transaction will continue to remain as eGV and is non-withdrawable to your bank account. This can continue to be used on PhonePe Platforms for eligible transactions.Further, in case of cancellation of a transaction, refunded amount less of cashback (credited in form of eGV) will be credited back to the source of funds used while making payment.Fees and ChargesPhonePe Wallet (including PhonePe KYC Wallet) or eGVs issued by PhonePe to PhonePe Account users is not subject to any membership fee. PhonePe does not charge You any fee for creating an Account or use of Services unless specified explicitly.PhonePe reserves the right to change its fee(s) policy from time to time. We may at its sole discretion introduce new services and modify some or all the existing services offered and may introduce fees for the new/existing services offered or amend/introduce fees for existing services. Changes to the fee(s) policy shall automatically become effective immediately and would be notified via changes to these terms and conditions.Operational Validity & ForfeitureYour PhonePe Wallet shall be valid as per the regulatory directives issued by RBI from time to time and permitted by PhonePe. Currently Your PhonePe Wallet is valid unless surrendered or cancelled or forfeited. However, eGVs (including unused eGV balances) issued shall have a minimum validity period of 12 (twelve) months from the date of last loading/reloading of the Wallet and PhonePe may extend the validity period for such tenures as PhonePe may in its discretion determine. PhonePe may also terminate the Wallet at its discretion or on account of Your breach of these Terms or on account of a directive received from the RB or from any other legal enforcement agencies.You may also note that PhonePe reserves the right to terminate Your PhonePe Wallet Account in case of violation of any policy or Terms of Use or any rule/policy issued by the RBI or Government of India or any other concerned body and in such event, any balance in your PhonePe wallet Account shall be credited back to your bank account linked to the PhonePe Application. In such an event, PhonePe might report the Your account and transaction details to the concerned enforcement authority or any other agency notified by regulators or law and may freeze your PhonePe wallet until given a clearance by the concerned body.In the event that Your PhonePe Wallet / eGV is due for expiry on the grounds as set out herein, PhonePe shall caution You of such impending expiry at least 45 (forty-five) days prior to the date of expiry by sending a communication in this regard via e-mail/Phone/notification or any other method of communication which is permissible. In the event that there is an outstanding balance in Your PhonePe Wallet subsequent to the expiry, you may at any time subsequent to the expiry of the Wallet make a request to PhonePe to initiate a refund of the outstanding Wallet Account balance and the aforesaid balance will be transferred to a bank account that you had either linked to Your PhonePe Wallet Account previously or the bank account details you have provided to PhonePe at the time of raising the request for refund. However, eGVs cannot be refunded to bank account and shall be reinstated for further use at the sole discretion of PhonePe. PhonePe further reserves the right to move your PhonePe Wallet to Debit Only Mode if You are involved in any suspicious transaction and/or any transaction in gross violation of the rules and regulations issued by the Reserve Bank of India (“RBI”), governing the use of Pre Paid Payment Instruments including but not limited to rules and regulations under Prevention of Money Laundering Act, 2002 and any amendments thereto. In such an event, PhonePe may report the matter to RBI and may also freeze your PhonePe Wallet until the receipt of findings, and clear report from RBI in this regard.In case Your PhonePe Wallet or has no transaction within the last 12 months, Your PhonePe Wallet shall be flagged as inactive wallet and You can operate Your wallet only after completing appropriate due-diligence process defined by PhonePe from time to time. Your PhonePe Wallet balance shall be maintained securely with us and any pending refunds will still be credited to Your PhonePe Wallet and shall continue to receive all communications from us, including promotional communications. However, You would not be able to use Your wallet for any transactions including loading of Your PhonePe Wallet without undergoing such due-diligence.Suspension/Discontinuation of servicesIn case You want to close Your PhonePe Wallet, as a one time option, Your funds would be allowed to be refunded back to the PhonePe Wallet load source for minimum details PhonePe Wallet. However, for PhonePe KYC Wallet, You can transfer the funds back to Your Pre-designated own bank account.You agree and acknowledge that there can be certain risk-based scenarios when Your PhonePe Wallet may not be immediately closed but suspended and then eventually closed.You further understand that once Your PhonePe Wallet is closed, We would not be able to reinstate Your PhonePe Wallet and may sometimes not allow You to create a new wallet as per regulatory directives or based on our internal policies.You also understand that we are also obligated to retain Your data and information even after discontinuation of Your PhonePe Wallet for record retention.Unauthorized transactions and Grievance RedressalPhonePe shares transaction alerts in the form of SMS or email against debit to Your PhonePe Wallet/eGV. In case You observe any transaction on Your account which is not processed with Your consent/ authorization, You should immediately report such transaction to Us via the emergency 24x7 contact number/email/ forms as made available to You by PhonePe.Once You report a transaction as unauthorized, We may also temporarily suspend Your PhonePe Wallet/eGV while we review Your claim. As We investigate the claim, we shall keep funds claimed under dispute and shall credit the same to Your PhonePe Wallet/eGV in case the investigation outcome is in Your favor.In case the unauthorized transaction is processed due to any contributory fraud / negligence / deficiency on the part of PhonePe, We would refund the funds to Your PhonePe Wallet / eGV.In cases where the loss is due to Your negligence, such as where You might have shared the payment credentials, You shall bear the entire loss until You report such unauthorised transaction US. You shall not be made liable for any further loss on Your PhonePe Wallet / eGV after You have reported the unauthorised transaction to Us.You shall note that in case of any third party breach which is not caused due to the deficiency at Your end, neither at Our end, buy a third party, You shall report such unauthorized transaction within 3 (three) days, failing which Your liability on such transaction would be (a) Transaction value or ₹ 10,000/- per transaction, whichever is lower, in case You report such transaction within four to seven days or (b) liability as defined by our Board approved policy.In case We are not able to complete our investigation within 90 (ninety) days, We shall refund the funds to Your PhonePe Wallet or eGV as per the RBI directives and Our policies.PhonePe communicates all terms and conditions governing Your PhonePe Wallet / eGVs through SMS/links/notification/any other mode of communication, details of charges and fees, expiry period of Your PhonePe Wallet/PPI, and nodal officer retails at the time of issuing Your PhonePe Wallet/eGV and is available for Your review at all times on Our website and mobile application.In case Your report any complaint / grievance, We would review Your concern and will try to resolve Your complaint / grievance within 48 (forty eight) hours, but not later than 30 (thirty) days from the date of receipt of Your complaint / grievance. You may refer to our Grievance Policy for further details.Transaction MonitoringYou are allowed to use Your PhonePe Wallet / eGV for permitted merchant partners and permitted purposes within the overall transactional limit(s) applicable to Your PhonePe Wallet / eGV . However, in order to secure Your account and safeguard Your transactions, we may monitor Your transaction and account activity for identify risks and We may decide to put in place limits/restrictions/suspension on Your PhonePe Wallet/eGV taking into account the risk perception that we may generate basis our monitoring and risk management practices.In order to review Your account, You understand and authorize Us to review Your PhonePe Account, including but not limited to services offered on Your PhonePe mobile application.You also acknowledge that We would need to block/suspend/limit/restrict usage of Your PhonePe Account for any anomalies that we may observe in Your PhonePe Account for any of the services provided in PhonePe Application.Prohibited use of PPI, user conduct and responsibilitiesYou shall not impersonate any person or entity, falsely claim or otherwise misrepresent an affiliation with any person or entity, or access the accounts of others without permission, forge another person’s digital signatures or perform any other fraudulent activity.You shall not use the Wallet to defraud PhonePe, our affiliates or other members or users, or engage in other unlawful activities (including without limitation dealing in products or services prohibited by law).You shall not purchase anything (products or services) using fraudulent funds and shall not use the Wallet for money laundering, tax evasion or any other illegal activities.You shall not use the PhonePe Wallet/eGV balances in a manner that may result in complaints, disputes, imposition of fines, penalties, chargebacks or any other liability to PhonePe;You shall apply appropriate due-diligence while transacting using Your PhonePe Wallet/eGV as in case any amount is transferred erroneously by You to any Merchant or any other person, PhonePe shall not be liable to refund such amount to You under any circumstances.Any web-link on the website to a third-party site is not an endorsement of that web-link. By using or browsing any such other web-link, you shall be subject to the terms and conditions in each such web-link and You should review such terms and conditions before using such website/application.PhonePe shall send all customer communications by SMS/ email/ notification or any other communicating mode and they shall be deemed to have been received by You after they have been submitted for delivery to the SMS/email service providers. However, in case You do not want to receive promotional messages, You shall Opt-Out from by expressing Your consent on the Opt-Out option provided as part of such emails or via any other medium made available to You by PhonePe.You shall use the Wallet in good faith and in compliance with all applicable laws and regulations and be solely responsible for payment of any taxes, duties or other governmental levies or any financial charges that may be imposed on any products or services purchased or supplied by a merchant or otherwise arising from transactions.You shall ensure that the PhonePe Wallet is not used for Transactions in foreign currency. PhonePe Wallet is issued & shall be valid only in India and shall be used at Merchant located in India only.You agree and understand that when you acquire goods or any other services from a Merchant platform through PhonePe Services, we are not a party to the contract between you and the Merchant. You authorise Us to contact you and communicate with you for any PhonePe Service or Offer(s). We may use third party service providers to send alerts or communicate with you. You authorise PhonePe and PhonePe Entities to override the DND settings to reach out to you over calls, SMS, emails and any other mode of communication.DisputesAny disputes against Your PhonePe Wallet usage and operation shall be notified to Us within 30 days, beyond which, We shall not be held liable for any such claim/event. PhonePe may delegate certain PhonePe rights and responsibilities under this Agreement to independent contractors or other third parties. You are also required to keep your accounts, KYC details and contact information complete and updated at all times.Once you sign-up on PhonePe, you are entitled to a Phone Account. You can also register with PhonePe from any third party merchant platform subject to certain conditions and limitations available on PhonePe website & application. Once registered with PhonePe, certain services may ask you for additional information in order or avail such service and may involve creation of sub-accounts for availing such services.The device on which You download PhonePe App and use during registration, shall become Your registered device and device details shall be stored by us. The moment You log into your PhonePe account from a different device using the PhonePe app, You will be asked to allow PhonePe to send an SMS from the new device, after which the new device becomes the registered device. You will not be able to access your PhonePe account using your previous device until you re-login and re-authorize yourself on that device.Your conduct on Website(s) and Application(s)In order to access PhonePe Services, you are required to provide information about yourself as part of the signup process, or as part of your ability to use services provided by Us. You agree that any information you provide will always be accurate, correct, and up to date and some services may require you to share additional information which might include your personal information, personal sensitive information. Your information management shall be as per PhonePe Privacy Policy .You shall promptly inform PhonePe of any unauthorized usage of your PhonePe Wallet or loss of mobile device and any other circumstances which may lead to unauthorized usage of your PhonePe Account. The responsibility of any transaction prior to intimation, will solely be on the registered User;You understand that while availing services offered by Merchants and your payment to merchants using any of PhonePe Services (Prepaid PhonePe Wallets, eGVs, Unified Payment Interface, Payment Gateway), you understand that we are not a party to the contract between you and the Merchant and act only as an Intermediary ( IT Act 2000). PhonePe does not endorse any advertiser or Merchant linked to its website or app. Furthermore, PhonePe is under no obligation to monitor the Merchant's service used by you; the Merchant alone will be responsible for all obligations under the contract including (without limitation) warranties or guarantees. Any dispute with or complaint against any Merchant must be directly resolved by you with the Merchant. It is clarified that PhonePe shall not be responsible or liable for any deficiency in goods and/or services purchased using PhonePe Wallet balance. You are instructed to satisfy yourself regarding the quality, quantity and fitness of any good and/or service before purchasing the same.You agree that in case any amount is transferred erroneously by You to any Merchant, Participating Platforms or any other person, PhonePe shall not be liable to refund such amount to You under any circumstances.You further agree that Any web-link on the website to a third-party site is not an endorsement of that web-link. It aims to simplify and provide a single interface across all NPCI systems besides creating interoperability and superior customer experience.These terms and conditions regulate the payments under the Unified Payment Interface (“BHIM UPI”), a payment service platform (“Platform”) developed by National Payments Corporation of India (“NPCI”), an umbrella organisation incorporated in 2008 and acting as the settlement/clearing house/regulatory agency for BHIM UPI services. It will be 4-6 digits numeric PIN only.RegistrationPhonePe UPI is offered via PhonePe App to its registered users having PhonePe account. UPI is a qualified PhonePe service and you need to have Your own Bank Account linked with Your active mobile number in order to register and access to PhonePe UPI.The registration process is a standard process which is defined and governed by NPCI under UPI guidelines and may change from time to time. PhonePe in the capacity of TPAP is responsible for implementing the process as notified by NPCI from time to time. You understand that the registration process may include access to Your mobile network and sending an unique SMS using your Phone to verify, validate, register and link Your Bank Account on UPI Platform and create an unique Virtual Account Number (“VPA”).PhonePe does not store the Bank Account number linked to Your VPA. Further, VPA can be used to:Pay at merchant locations using QR code through your PhonePe App.Online through certain merchant websites.For making payment for PhonePe Services as permitted by the regulators and BHIM Payment System Providers.The details provided by You as part of the UPI registration process, which includes your Banking Information, shall be shared and maintained at PSP Bank’s and NPCI’s secure library and You consent to share and authorize PSP Bank and NPCI to maintain this data.TransactionsPhonePe BHIM UPI can be used for Person to Person money transfers or to purchase products and services online or offline on any Merchant platform. Your BHIM UPI PIN needs to be entered on Your mobile to authorize every PhonePe BHIM UPI payment. You need to ensure that You are connected to the internet at the time of making any transaction. However, this facility may not be extended by PhonePe or PhonePe Entities for all transactions.While making Payments for PhonePe Services on PhonePe Platform, you may make Payments using BHIM PhonePe UPI in case your balances on other payment instruments, including PhonePe PPI wallet or Gift card is not sufficient to process such transaction.BHIM PhonePe UPI is one of the payment options available to You on various Merchant platforms and We assume no responsibility for the products / services purchased using BHIM PhonePe UPI and any liability thereof is expressly disclaimed.BHIM UPI transactions are subject to minimum and maximum transaction limits that may be set by PhonePe, User, Issuer Bank, the Payment Participants or as may be prescribed under the provisions of Applicable Law. Further, PhonePe, Bank - PSP or other Payment Participants may also reject/suspend Transactions (in whole or in part)based on their respective policies and assessment.Your transaction records can be reviewed within the PhonePe App - “History” section. In case, transactions processed by you or any other activity that We believe may be suspicious or unusual, we may temporarily or permanently suspend your access to BHIM PhonePe UPI services.Your transaction may be rejected due to reason not limited to risk management, suspicion of fraudulent, illegal Transactions, selling of prohibited items, use of compromised or blacklisted cards or BHIM UPI accounts, chargebacks/complaints or for other reasons as prescribed in the Payment Participant Rules. We may further investigate and may suspend or terminate your PhonePe account, report the transaction and your account details to legal enforcement agencies or other regulatory authorities as applicable or notified by law.User Responsibility & ObligationsWhile your register and transact on using Bhim PhonePe UPI, You are required to ensure the following -You are solely responsible for linking Your correct bank account.Since Your mobile number is treated as the primary identifier, Your mobile number needs to be updated with the bank linked to PhonePe App in case of any changes.If You change the mobile number registered with Your PhonePe Account, You will have to re-register your new mobile number with PhonePe. To re-enable the Service, you need to register your new mobile number with your bank as well.You are solely responsible to keep Your OTP, BHIM UPI PIN and bank account related details confidential. Sharing such information with others may lead to unauthorized usage, for which PhonePe shall not be responsible.You shall take full responsibility of the payment request that you make and authorize on BHIM PhonePe UPI, including addition of beneficiary, typing and reviewing VPAs and validating intended recipients and We do not take correctness of information that you enter during payment processing, including authorization.You agree that if You provide any information that is untrue, inaccurate, not current or incomplete or We have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with the Terms of Use, We shall have the right to indefinitely suspend or terminate or block access to Your Account.We shall ensure that all your confidential data pertaining to your money transactions, bank account details, and all other sensitive personal information are protected and kept confidential by employing best available protection standards, which are more fully set out in our Privacy Policy.You agree that BHIM PhonePe UPI, PSP or any other system participant in BHIM UPI Payment System shall not be liable for any delay in the completion of the funds transfer or any loss on account of error in the execution of the funds transfer by you.You are required to ensure availability of sufficient funds in BHIM PhonePe UPI linked Bank Account(s) in order to avoid transaction declines and charges if any accessed by your issuer Bank.UPI Participant’s Roles and ResponsibilitiesNPCI:NPCI owns and operates the Unified Payments Interface (UPI) platformNPCI prescribes rules, regulations, guidelines, and the respective roles, responsibilities and liabilities of the participants, with respect to UPI. This also includes transaction processing and settlement, dispute management and clearing cut-offs for settlement.NPCI approves the participation of Issuer Banks, PSP Banks, Third Party Application Providers (TPAP) and Prepaid Payment Instrument issuers (PPIs) in UPI.NPCI provides a safe, secure and efficient UPI system and network.NPCI provides online transaction routing, processing and settlement services to members participating in UPI.NPCI can, either directly or through a third party, conduct an audit on UPI participants and call for data, information and records, in relation to their participation in UPI.NPCI provides the banks participating in UPI access to system where they can download reports, raise chargebacks, update the status of UPI transactions etc.PSP BankPSP Bank is a member of UPI and connects to the UPI platform for availing UPI payment facility and providing the same to the TPAP which in turn enables the end-user customers / merchants to make and accept UPI payments.PSP Bank, either through its own app or TPAP’s app, on-boards and registers the end-user customers on UPI and links their bank accounts to their respective UPI ID.PSP Bank is responsible for authentication of the end-user customer at the time of registration of such customer, either through its own app or TPAP’s app.PSP Bank engages and on-boards the TPAPs to make the TPAP’s UPI app available to the end-user customers.PSP Bank has to ensure that TPAP and its systems are adequately secure to function on UPI platform.PSP Bank is responsible to ensure that UPI app and systems of TPAP are audited to safeguard security and integrity of the data and information of the end-user customer including UPI transaction data as well as UPI app security.PSP Bank has to store all the payments data including UPI Transaction Data collected for the purpose of facilitating UPI transactions, only in India.PSP Bank is responsible to give all UPI customers an option to choose any bank account from the list of Banks available on UPI platform for linking with the customer’s UPI ID.PSP Bank is responsible to put in place a grievance redressal mechanism for resolving complaints and disputes raised by the end-user customer.PhonePe (TPAP):PhonePe is a service provider and participates in UPI through PSP Bank.PhonePe is responsible to comply with all the requirements prescribed by PSP Bank and NPCI in relation to TPAP’s participation in UPI.PhonePe is responsible to ensure that its systems are adequately secure to function on the UPI platform.PhonePe is responsible to comply with all applicable laws, rules, regulations and guidelines etc. prescribed by any statutory or regulatory authority in relation to UPI and PhonePe’s participation on the UPI platform including all circulars and guidelines issued by NPCI in this regard.PhonePe has to store all the payments data including UPI Transaction Data collected by TPAP for the purpose of facilitating UPI transactions, only in India.PhonePe is responsible to facilitate RBI, NPCI and other agencies nominated by RBI/ NPCI, to access the data, information, systems of PhonePe related to UPI and carry out audits of PhonePe, as and when required by RBI and NPCI.PhonePe shall facilitate the end-user customer with an option to raise grievance through the PhonePe’s grievance redressal facility made available through PhonePe UPI app or website and such other channels as may be deemed appropriate by the PhonePe like email, messaging platform, IVR etc.Dispute & GrievancePhonePe has tripartite contractual agreements with sponsor PSP Banks and NPCI and we are obligated to facilitate grievances / complaints resolution of the customers onboarded on our UPI application.We shall be the first point of contact for all UPI related grievances/complaints for customers on- boarded by us. In case the complaint/grievance remains unresolved, the next level for escalation will be the PSP Bank, followed by the bank (where you maintain the account) and NPCI in the same order. After exercising these options, you can approach the Banking Ombudsman and / or the Ombudsman for Digital Complaints, as the case may be.Dispute Redressal MechanismYou can raise a complaint with respect to a UPI transaction, on the PhonePe app.You can select the relevant UPI transaction and raise a complaint in relation thereto.You can raise a complaint with PhonePe with respect to all UPI related grievances / complaints if the UPI transaction is made through PhonePe app. In case the complaint / grievance remains unresolved, the next level for escalation will be the PSP Bank, followed by the bank (where you maintain your account) and NPCI, in the same order. After exercising these options, you can approach the Banking Ombudsman and / or the Ombudsman for Digital Complaints, as the case may be.The complaint can be raised for both the types of transactions i.e. fund transfer and merchant transactions.You shall be kept communicated by PhonePe by means of updating the status of your complaint on PhonePe App or any other means such as Email, TelephoneUse of Group CompaniesYou understand and agree that PhonePe and PhonePe Entities reserve the right to use the services of themselves to provide any of the mentioned PhonePe services to you within PhonePe Platforms.Indemnity & LiabilityIn no event will PhonePe be liable for any indirect, consequential, incidental, special or punitive damages liabilities (including statutory), including without limitation damages for loss of profits or revenues, business interruption, loss of business opportunities, loss of data or loss of other economic interests, whether in contract, negligence, tort or otherwise, arising from the use of or inability to use the BHIM PhonePe UPI Facility.You shall indemnify and hold harmless PhonePe, PhonePe Entities, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys' fees, made by any third party or penalty imposed due to or arising out of Your breach of this Terms of Use, privacy Policy and other Policies, or Your violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party.TerminationYou agree that PhonePe at its sole discretion may terminate Your contract without prior notice and restrict your access to PhonePe application if We determine that your have violated the terms of use and You consent that in case PhonePe suffers losses, not limited to monetary losses, due to Your actions, We can take injunctive relief as deems necessary within the said circumstances. We may also suspend services or terminate Your contract in case of violation of User conduct of PhonePe Platforms as defined by PhonePe and PhonePe entities.You may note that PhonePe shall retain your registration information, VPAs, transactional information or any other information that We are permitted to store as permitted under the BHIM UPI Payment System for the duration as specified in regulations or notified by NPCI from time to time even after termination of contract.Governing LawThis agreement and the rights and obligations thereunder and the relations of the parties and all matters arising under or in connection with this Terms of Use, including the construction, validity, performance or termination thereunder, shall be governed by and construed in accordance with the laws of the Republic of India. The outstanding balance at the time of closure shall be transferred to the Your bank account provided by You and/or to ‘back to source’ (payment source from where the PhonePe KYC Wallet was loaded). You hereby agree and understand that PhonePe shall be entitled to call for the relevant information/documents pertaining to Your bank account and/or ‘back to payment source’ instrument to which funds have to be transferred post closure of the PhonePe KYC Wallet.Non-ReloadableGift Instrument (“eGV”)eGV’s issued by PhonePe under this category are governed by Section 10.1 of PPI-MD with the features and limitations mentioned herein. As a PhonePe user, You may purchase/gift eGVs using your PhonePe Account. Alternatively, We may also gift You eGVs subject to Our Sole discretion.Purchase: eGVs can only be purchased in denominations upto Rs. 10,000/-. PhonePe may cap the maximum amount of eGV based on Our internal risk management program. You may purchase eGV using, Debit Card, Credit Card or any other instrument permitted by RBI and provided by PhonePe. eGVs cannot be purchased using PhonePe Wallet (including PhonePe KYC Wallet) or another eGV balance. Usually Gift Cards are delivered instantly. But sometimes due to system issues, the delivery can be delayed by up-to 24 hours. In case the eGV is not delivered within this timeframe, You are requested to report the issue with us immediately for us to resolve the issue. eGVs might be offered with a purchase limit or a minimum purchase value depending on Our internal policies.Limitation: eGVs, including any unused eGV balances, expire one year from the date of issuance. eGVs cannot be reloaded, resold, transferred for value or redeemed for cash. Unused eGV balances on Your PhonePe Account may not be transferred to another PhonePe account, but eGVs purchased by You but unclaimed by You or to whom You have gifted the eGV, can be claimed by another PhonePe account. No interest will be payable by PhonePe on any eGV or eGV balance.Redemption: eGV may only be redeemed toward transactions on eligible merchants on PhonePe platform. Purchase amount is deducted from the user's eGV balance. Any unused eGV balance will remain associated with the user's PhonePe Account and applied to purchases in order of earliest expiration date. PhonePe is not responsible if eGV is lost, stolen, destroyed or used without permission. PhonePe will have the right to close customer accounts and take payment from alternative forms of payment if a fraudulently obtained eGV is redeemed and/or used to make purchases on PhonePe platform. PhonePe risk management program shall cover both the purchases of eGVs and redemption on PhonePe platform. Transactions that are deemed suspicious by our risk management program (including anti-fraud rules/policies) may be disallowed by PhonePe. PhonePe reserves the right to cancel fraudulently obtained / purchased eGVs and put restrictions on suspicious accounts as deemed appropriate by our risk management programs.eGVs might also be issued to You as an incentive or reward as part of PhonePe Rewards Program and We reserve the sole right and discretion to award such rewards to You in form of cashbacks.1. Rewards ProgramPhonePe reserves the right to provide rewards to its users as per internal policies as decided by PhonePe from time to time.For cashback rewards, PhonePe terms and conditions applicable to PhonePe Account and usage will continue to apply.PhonePe reserves the right to pull back rewards from a user's account (pre or post redemption) in case of suspicious or fraudulent activities as detected by PhonePe from time to time without any notice/intimation.Scratch cards standing unclaimed will be forfeited post 1 year of granting of the scratch card to the user or by any other period specified by PhonePe at the time of issuance.The reward is not guaranteed in any manner whatsoever.If You are rewarded, the reward amount shall be credited to your PhonePe Wallet or may be provided to You as per the specific terms of such offer.This offer is not available in the state of Tamil Nadu (owing to the Tamil Nadu Prize Scheme (Prohibition) Act 1979) and other states wherever prohibited by law.Your participation in any offer constitutes Your understanding and agreement to the complete terms and conditions associated with each offer.2. You are responsible for security of your PhonePe Wallet and PhonePe eGV and shall take all steps to keep the details secure including the devices that You may use to access Your PhonePe Account. Further, You shall not disclose Your account access credential to anyone in any form whether verbally, writing or record it in any other form. In case You divulge such details in error or due to negligence, You shall immediately report the activity to PhonePe. However, PhonePe shall not be liable for any unauthorized transaction performed by any third party with Your secure account access credentials.We may monitor Your transaction(s) for probable high-risk/fraud transactions. Basis our continuous transaction monitoring, We may place a hold on the Transaction, block or reject transaction and may also temporarily block you PhonePe Wallet or eGV or Account and ask You for more information on You and Your funding source before releasing / reinstating Your account/transaction. You shall also note that, Your account could also be temporarily or permanently blocked basis abuse against any employee, company, or incorrect declaration by any customer or merchant and We shall not be liable for any loss caused to You due to this while we investigate Your account.You agree and understand that the PhonePe, based on its internal policies, regulatory and statutory guidelines may report transactions to appropriate authorities in case such transaction is classified as suspicious or fraudulent and We shall not be made liable for any loss caused to You for such obligatory reporting by Us, even if any such transaction is found to be regular and lawful at a later stage.While executing any transaction, You must ensure the availability of sufficient funds On Your PhonePe Wallet / eGV or other sources of funds that You use to execute any transaction.You understand that the services offered by PhonePe on PhonePe application use internet connection, service providers apart from PhonePe application to successfully execute Your transactions and We shall not be take any responsible on any liability arising from including but not limited to any loss or interruption of the Services or the unavailability of Services due to a mobile or internet not supporting, non-responsiveness Merchant websites or applications.You understand that the information that You share for availing services might be shared with third parties inter alia, to facilitate the provision of the Services and in such case, data policies of service providers shall also apply to such transactions and You are required to update Yourself of their policies and You acknowledge that You understand that PhonePe would not have any control on data sharing and use in such case.You further agree and acknowledge that Your bank/financial institution may access fee(s) or charge(s) against such transactions and PhonePe shall not be liable to acknowledge or refund such fee(s) charges and shall be borne You in all circumstances.Funds loaded into Your PhonePe Wallet or eGV and spent on PhonePe application or partner merchants for services offered by them are conducted over the internet and involve multiple stakeholders not limited to You Bank, Service Providers, Internet services, telecom operator etc. You understand that transaction confirmations and acknowledgements may not always reflect service delivery due to the possibility of failures at multiple points. In such cases, PhonePe is not liable for any loss caused due to inefficiencies / process failures at other such stakeholders and PhonePe shall credit the funds or recover the funds from You in such cases and shall apply appropriate limits/orders on Your PhonePe Wallet / eGV or Account accordingly at its own discretion and can take appropriate legal actions to collect the amount due, to the extent allowed by Applicable Law.You can view Your PhonePe Wallet and eGV transaction in Your PhonePe app and can also review transactions for at least 6 (six) months.All categories of PhonePe Wallets and eGVs are non-transferable in nature, except the ones that are unclaimed and No interest is payable on the outstanding Wallet balances.Your account is secured and any transaction that is processed on Your PhonePe Wallet / eGV shall be authorized by You explicitly or processed via RBI notified debit mandates authorised by You on Your PhonePe Wallet and permitted by PhonePe.While You can purchase multiple eGVs as permitted by PhonePe from time to time. Any suspected violation of this condition shall constitute grounds for suspension of Your access to Your PhonePe Wallet / eGVs or PhonePe account.While, the continued availability of the PhonePe Wallet shall be subject to the requirements under law, regulations or directions connected to Semi-closed prepaid payment instruments, PhonePe reserves the right to suspend/discontinue the Wallet at any time, for any cause, including, but not limited, to the following-For any suspected violation of the rules, regulations, orders, directions, notifications issued by RBI from time to time or for any violation of any PhonePe Terms;any suspected discrepancy in Your particular(s), KYC documentation or information provided by the You; orto combat potential fraud, sabotage, willful destruction, threat to national security or for any other force majeure event; orPhonePe in its sole opinion and discretion believes that cessation/ suspension of Your PhonePe Wallet is necessary for any other legitimate purpose.You agree that, upon any closure or winding up of the Prepaid Payment Instrument as notified by the regulator or due to any other circumstances provided under law, You may redeem the outstanding balance in Your PhonePe Wallet/eGV or transfer the same to any prepaid payment instrument or bank account held/maintained by you with any third party with in such time as may be determined by PhonePe, failing which, PhonePe may transfer the balance in Your Prepaid Payment Account to Your another prepaid payment instrument issued by such entity having authorisation from RBI and with which PhonePe has made appropriate arrangements.Refund and cancellationAll payments made through PhonePe Wallet/eGV for mobile/ DTH recharge, bill pay, P2P transfers or any other payment processed by You on PhonePe Platform or Merchant partners accepting PhonePe Wallet (including eGVs) as a payment option shall be final and PhonePe shall not be responsible for any error and omission by You or Merchant partners. Such transactions cannot be refunded, returned or cancelled once initiated.If you erroneously processed a payment to the unintended merchant or processed a payment for the wrong amount (for instance a typographical error at your end) Your only recourse will be to contact the merchant directly to whom you have made the payment and ask them to refund the amount. PhonePe shall not be able to handle such disputes, not can We reimburse you or reverse a payment that you have erroneously made.In case We receive a refund for a transaction which You have processed earlier, we would refund the funds back to the source, including PhonePe Wallet/eGV unless specified or directed by your otherwise.In case of any cancellations, the cashback (in form of eGV) given on the transaction will continue to remain as eGV and is non-withdrawable to your bank account. This can continue to be used on PhonePe Platforms for eligible transactions.Further, in case of cancellation of a transaction, refunded amount less of cashback (credited in form of eGV) will be credited back to the source of funds used while making payment.Fees and ChargesPhonePe Wallet (including PhonePe KYC Wallet) or eGVs issued by PhonePe to PhonePe Account users is not subject to any membership fee. PhonePe does not charge You any fee for creating an Account or use of Services unless specified explicitly.A convenience fee may be charged for certain Bill Pay transactions to your PhonePe Wallet which may range from INR 0.50 to INR 100. You shall be notified before any such charge is added to Your transaction.PhonePe reserves the right to change its fee(s) policy from time to time. We may at its sole discretion introduce new services and modify some or all the existing services offered and may introduce fees for the new/existing services offered or amend/introduce fees for existing services. Changes to the fee(s) policy shall automatically become effective immediately and would be notified via changes to these terms and conditions.Operational Validity & ForfeitureYour PhonePe Wallet shall be valid as per the regulatory directives issued by RBI from time to time and permitted by PhonePe. Currently Your PhonePe Wallet is valid unless surrendered or cancelled or forfeited. However, eGVs (including unused eGV balances) issued shall have a minimum validity period of 12 (twelve) months from the date of last loading/reloading of the Wallet and PhonePe may extend the validity period for such tenures as PhonePe may in its discretion determine. PhonePe may also terminate the Wallet at its discretion or on account of Your breach of these Terms or on account of a directive received from the RB or from any other legal enforcement agencies.You may also note that PhonePe reserves the right to terminate Your PhonePe Wallet Account in case of violation of any policy or Terms of Use or any rule/policy issued by the RBI or Government of India or any other concerned body and in such event, any balance in your PhonePe wallet Account shall be credited back to your bank account linked to the PhonePe Application. In such an event, PhonePe might report the Your account and transaction details to the concerned enforcement authority or any other agency notified by regulators or law and may freeze your PhonePe wallet until given a clearance by the concerned body.In the event that Your PhonePe Wallet / eGV is due for expiry on the grounds as set out herein, PhonePe shall caution You of such impending expiry at least 45 (forty-five) days prior to the date of expiry by sending a communication in this regard via e-mail/Phone/notification or any other method of communication which is permissible. In the event that there is an outstanding balance in Your PhonePe Wallet subsequent to the expiry, you may at any time subsequent to the expiry of the Wallet make a request to PhonePe to initiate a refund of the outstanding Wallet Account balance and the aforesaid balance will be transferred to a bank account that you had either linked to Your PhonePe Wallet Account previously or the bank account details you have provided to PhonePe at the time of raising the request for refund. However, eGVs cannot be refunded to bank account and shall be reinstated for further use at the sole discretion of PhonePe. PhonePe further reserves the right to move your PhonePe Wallet to Debit Only Mode if You are involved in any suspicious transaction and/or any transaction in gross violation of the rules and regulations issued by the Reserve Bank of India (“RBI”), governing the use of Pre Paid Payment Instruments including but not limited to rules and regulations under Prevention of Money Laundering Act, 2002 and any amendments thereto. In such an event, PhonePe may report the matter to RBI and may also freeze your PhonePe Wallet until the receipt of findings, and clear report from RBI in this regard.In case Your PhonePe Wallet or has no transaction within the last 12 months, Your PhonePe Wallet shall be flagged as inactive wallet and You can operate Your wallet only after completing appropriate due-diligence process defined by PhonePe from time to time. Your PhonePe Wallet balance shall be maintained securely with us and any pending refunds will still be credited to Your PhonePe Wallet and shall continue to receive all communications from us, including promotional communications. However, You would not be able to use Your wallet for any transactions including loading of Your PhonePe Wallet without undergoing such due-diligence.Suspension/Discontinuation of servicesIn case You want to close Your PhonePe Wallet, as a one time option, Your funds would be allowed to be refunded back to the PhonePe Wallet load source for minimum details PhonePe Wallet. However, for PhonePe KYC Wallet, You can transfer the funds back to Your Pre-designated own bank account.You agree and acknowledge that there can be certain risk-based scenarios when Your PhonePe Wallet may not be immediately closed but suspended and then eventually closed.You further understand that once Your PhonePe Wallet is closed, We would not be able to reinstate Your PhonePe Wallet and may sometimes not allow You to create a new wallet as per regulatory directives or based on our internal policies.You also understand that we are also obligated to retain Your data and information even after discontinuation of Your PhonePe Wallet for record retention.Unauthorized transactions and Grievance RedressalPhonePe shares transaction alerts in the form of SMS or email against debit to Your PhonePe Wallet/eGV. In case You observe any transaction on Your account which is not processed with Your consent/ authorization, You should immediately report such transaction to Us via the emergency 24x7 contact number/email/ forms as made available to You by PhonePe.Once You report a transaction as unauthorized, We may also temporarily suspend Your PhonePe Wallet/eGV while we review Your claim. As We investigate the claim, we shall keep funds claimed under dispute and shall credit the same to Your PhonePe Wallet/eGV in case the investigation outcome is in Your favor.In case the unauthorized transaction is processed due to any contributory fraud / negligence / deficiency on the part of PhonePe, We would refund the funds to Your PhonePe Wallet / eGV.In cases where the loss is due to Your negligence, such as where You might have shared the payment credentials, You shall bear the entire loss until You report such unauthorised transaction US. You shall not be made liable for any further loss on Your PhonePe Wallet / eGV after You have reported the unauthorised transaction to Us.You shall note that in case of any third party breach which is not caused due to the deficiency at Your end, neither at Our end, buy a third party, You shall report such unauthorized transaction within 3 (three) days, failing which Your liability on such transaction would be (a) Transaction value or ₹ 10,000/- per transaction, whichever is lower, in case You report such transaction within four to seven days or (b) liability as defined by our Board approved policy.In case We are not able to complete our investigation within 90 (ninety) days, We shall refund the funds to Your PhonePe Wallet or eGV as per the RBI directives and Our policies.PhonePe communicates all terms and conditions governing Your PhonePe Wallet / eGVs through SMS/links/notification/any other mode of communication, details of charges and fees, expiry period of Your PhonePe Wallet/PPI, and nodal officer retails at the time of issuing Your PhonePe Wallet/eGV and is available for Your review at all times on Our website and mobile application.In case Your report any complaint / grievance, We would review Your concern and will try to resolve Your complaint / grievance within 48 (forty eight) hours, but not later than 30 (thirty) days from the date of receipt of Your complaint / grievance. You may refer to our Grievance Policy for further details.Transaction MonitoringYou are allowed to use Your PhonePe Wallet / eGV for permitted merchant partners and permitted purposes within the overall transactional limit(s) applicable to Your PhonePe Wallet / eGV . However, in order to secure Your account and safeguard Your transactions, we may monitor Your transaction and account activity for identify risks and We may decide to put in place limits/restrictions/suspension on Your PhonePe Wallet/eGV taking into account the risk perception that we may generate basis our monitoring and risk management practices.In order to review Your account, You understand and authorize Us to review Your PhonePe Account, including but not limited to services offered on Your PhonePe mobile application.You also acknowledge that We would need to block/suspend/limit/restrict usage of Your PhonePe Account for any anomalies that we may observe in Your PhonePe Account for any of the services provided in PhonePe Application.Prohibited use of PPI, user conduct and responsibilitiesYou shall not impersonate any person or entity, falsely claim or otherwise misrepresent an affiliation with any person or entity, or access the accounts of others without permission, forge another person’s digital signatures or perform any other fraudulent activity.You shall not use the Wallet to defraud PhonePe, our affiliates or other members or users, or engage in other unlawful activities (including without limitation dealing in products or services prohibited by law).You shall not purchase anything (products or services) using fraudulent funds and shall not use the Wallet for money laundering, tax evasion or any other illegal activities.You shall not use the PhonePe Wallet/eGV balances in a manner that may result in complaints, disputes, imposition of fines, penalties, chargebacks or any other liability to PhonePe;You shall apply appropriate due-diligence while transacting using Your PhonePe Wallet/eGV as in case any amount is transferred erroneously by You to any Merchant or any other person, PhonePe shall not be liable to refund such amount to You under any circumstances.Any web-link on the website to a third-party site is not an endorsement of that web-link. We do not endorse any advertiser or Merchant linked to its website or app. Furthermore, we are under no obligation to monitor the Merchant's service used by you; the Merchant alone will be responsible for all obligations under the contract including (without limitation) warranties or guarantees. Any dispute with or complaint against any Merchant must be directly resolved by the User with the Merchant. You authorise PhonePe and PhonePe Entities to override the DND settings to reach out to you over calls, SMS, emails and any other mode of communication.DisputesAny disputes against Your PhonePe Wallet usage and operation shall be notified to Us within 30 days, beyond which, We shall not be held liable for any such claim/event. All those Intellectual Property rights arising as a result of domain names, internet or any other right available under applicable law shall vest in the domain of PhonePe or PhonePe entities as the owner of such domain name. Without the prior written consent of the owner, modification of the materials, use of the materials on any other platform or networked computer environment or use of the materials for any purpose other than personal, non-commercial use is a violation of the copyrights, trademarks and other proprietary rights, and is prohibited.Governing law / JurisdictionsThis Agreement and the rights and obligations thereunder and the relations of the parties and all matters arising under or in connection with this Terms of Use, including the construction, validity, performance or termination thereunder, shall be governed by and construed in accordance with the laws of the Republic of India.If any dispute or difference of any kind whatsoever shall arise between the parties in connection with or arising out of or in connection with your use of the PhonePe Wallet, you and PhonePe’s designated employee or representative shall promptly and in good faith negotiate with a view to arriving at an amicable resolution and settlement of the dispute or difference.In the event no amicable resolution or settlement is reached within a period of thirty (30) days, such dispute or difference shall be referred to a mutually acceptance single arbitrator or, upon the failure of the parties to agree upon a single arbitrator, within a period of ten (10) days, each party shall appoint one arbitrator each and the two appointed arbitrators shall appoint the third arbitrator who shall act as the presiding arbitrator under the provisions of the Indian Arbitration and Conciliation Act, 1996. The arbitration proceedings shall be held at Bangalore.The existence of any dispute or difference or the initiation or continuance of the arbitration proceedings shall not postpone or delay the performance by the parties of their respective obligations under this Agreement. It is agreed that the arbitrators shall also determine and make an award as to the costs of the arbitration proceedings. Notwithstanding anything contained herein, the parties shall have a right to institute legal proceedings to prevent any continuing breach and to seek an injunctive or any other specific relief.Subject to and without prejudice to the amicable settlement and arbitration clauses contained above, the courts in Bengaluru, Karnataka shall have exclusive jurisdiction to try and adjudicate all matters arising in connection with your use of the Wallet or other matters covered herein.General ProvisionsPhonePe shall have the right to assign this Agreement (including all of our rights, titles, benefits, interests, and obligations and duties in this Agreement) to any of our affiliates and to any successor in interest. PhonePe may delegate certain PhonePe rights and responsibilities under this Agreement to independent contractors or other third parties. You may not assign, in whole or part, this Agreement to any person or entity without our prior written consent which may be withheld at our sole discretion.A Force Majeure Event shall mean any event that is beyond the reasonable control of the PhonePe and shall include but not limited to war, riots, fire, flood, acts of God, explosion, strikes, lockouts, slowdowns, prolonged shortage of energy supplies, Pandemic, computer hacking, unauthorized access to computer data and storage devices, computer crashes ,acts of state or governmental action prohibiting or impeding PhonePe Entities from performing its respective obligations under the contract.DisclaimersIf there is any conflict between the English version and another language version of this Agreement, the English version shall prevailAny failure by PhonePe to exercise any of our rights under this Agreement shall not constitute a waiver of such right or a waiver with respect to subsequent or similar breach. A waiver shall be effective only if made in writing.If any provision of this Agreement is held to be invalid or otherwise unenforceable, then that provision shall be deleted and the remaining provisions shall remain valid and enforceable.Headings are for convenience purposes only and in no way define, limit, construe or describe the scope or extent of such section.PhonePe and third party partners make no warranty, express or implied regarding the quality of Services including but not limited to: i) the Services will meet your requirements; II) the Services will be uninterrupted, timely or error free; or III) any products, information or material obtained by You in connection with the services will meet Your requirements.If You are unable to use the Services as a result of improper operation of the systems due to any of the following reasons, You agree you will not hold PhonePe and our affiliates liable for:System suspension which has been announced by PhonePe in advance through any mode of communication;Failure in data transmission due to breakdown in the telecommunications equipment or systems;Failure in system operations due to breakdown resulting from typhoon, earthquake, tsunami, flood, electricity blackout, war, terrorist attack, and other force majeure events which are beyond our reasonable control; orThe Services are interrupted or delayed due to hacking, authority, website upgrade, banks, and other reasons that are beyond control of PhonePe.Except as expressly provided herein and to the full extent permitted by law, the Services are provided "as is", "as available" and "with all faults". This electronic record is generated by a computer system and does not require any physical or digital signatures.These terms and conditions ( “Terms”) govern the use of PhonePe Switch (“Switch”) on PhonePe’s mobile application ( “PhonePe App”), offered by PhonePe Private Limited ( “PhonePe”), a company incorporated under the Companies Act, 1956 with its registered office at Unit No. 001, Ground Floor, Boston House, Suren Road, Off. Andheri-Kurla Road, Andheri (East) Mumbai – 400093, India.For the purposes of these Terms, You expressly acknowledge that PhonePe includes PhonePe’s officers, directors, representatives and employees. The logo(s)/trademark(s) of Hosted App(s) displayed on Switch are the properties of the respective Hosted App(s). Through Your usage of Switch, You are accessing m-sites, mobile applications, banners, promotions, offers etc., of various service providers ( “Hosted App(s)”) in categories such as education, entertainment, food, grocery, shopping, travel etc and agree to be bound by these Terms.We may amend these Terms at any time by posting an updated version on PhonePe website(s) and/or PhonePe App. The updated version of these Terms shall take effect immediately upon posting. It is Your responsibility to review these Terms periodically for updates / changes, if any. Your continued use of PhonePe App following the posting of changes shall mean that You accept and agree to the revision(s)/modification(s).You acknowledge that there are various Hosted Apps listed on Switch and upon clicking on the respective logo/trademark/banner/promotion/offer of a Hosted App, You are supposed to be redirected to the respective Hosted App’s m-site/application, as may have been made available by such Hosted App. Malfunctioning while being redirected under Switch or some other technical glitch/issue attributable to the Hosted App may also take place (demonstrating that the landing m-site/application post redirection is not the one as represented by the Hosted App) and in which case You are strongly advised to log-out of and close the PhonePe app immediately. While attempting to access any of the Hosted Apps, You might also see a prompt requesting Your consent to share Your personal details with a Hosted App, to enable one-click login for Your ease of use. Post Your consent, PhonePe may share Your details with the Hosted App. Once You consent to this, You would be registered as a customer/user of the respective Hosted App and accordingly shall be governed by the respective Hosted App’s applicable terms of use and privacy policy. PhonePe hereby disclaims all liability with respect to any such data (and the usage thereof) that is shared with Hosted Apps, post Your consent.When You opt to use Hosted Apps, You acknowledge that Your use of the Hosted Apps as well Your purchase of product(s)/service(s) on the Hosted Apps shall be governed by the respective Hosted App’s applicable terms, and usage of data collected by the Hosted Apps shall be governed by their respective privacy policies. PhonePe is merely facilitating payment(s) for the product(s)/service(s) purchased/availed from the Hosted Apps. Accordingly, PhonePe's responsibility in relation to Your use of Switch is limited to processing Your payments and settling to the respective Hosted Apps. PhonePe shall bear no responsibility or liability whatsoever in respect of any matter arising from or in connection with products and/or services provided by Hosted App.With respect to purchase/availing of product(s)/service(s) by You on Hosted Apps, You acknowledge that the respective Hosted App shall be Your sole point of contact and shall be responsible for providing related invoice(s), warranty card, usage instructions, post-sale support etc. PhonePe shall not be responsible for the same, in any case whatsoever. Any dispute/complaint/grievance/issue with respect to the product(s)/service(s) of the Hosted Apps (including delivery/non-fulfilment/defective goods/deficiency of services/post-sale support etc.) shall be dealt between You and the respective Hosted App and PhonePe shall not be made a party to the same. In such cases, You hereby agree to release PhonePe (including its affiliates and officers, directors, agents, and employees thereof) from all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes/complaints/grievances/issues.You agree to not use the Switch including the Hosted Apps for any illicit or illegal purposes (including accessing age-based restricted content unless 18 years above of age) or to conduct any fraudulent transaction or act in such a manner which could be seen as violation of the applicable law and/or the policies, rules, terms of use of PhonePe and/or of the Hosted Apps. While purchasing product(s) or availing service(s) from Hosted Apps, You shall be responsible to ensure that such product(s)/service(s) are not in violation of the applicable laws in jurisdiction in which they are being purchased/delivered/availed, as the case may be. You shall not also make any transaction through PhonePe which is barred under any applicable laws and shall hold PhonePe harmless in the event of any claims against PhonePe in such regard.Your usage of Switch shall not be construed as a right to access Switch, at all times. PhonePe, im its sole discretion, may suspend/discontinue, either temporarily or permanently, Your access to Switch, at any time without notice. Further, in case of suspicious/fraudulent transactions, Your transactions may be evaluated and investigated into by PhonePe and/or the Hosted Apps and upon intimation You shall be required to provide written clarification along submission of requested documents as may be relevant to the transaction(s) in question.You acknowledge that the Hosted Apps belong to/are offered/extended by third party(ies). Accordingly, You agree to exercise abundant caution and reasonable due diligence before (a) using the Hosted Apps or (b) purchasing/availing any product(s)/service(s) from/via the Hosted Apps.You acknowledge that the policies related to refund and return will be provided by the Hosted Apps. You are strongly advised to read the same before purchasing/availing any product(s)/service(s). PhonePe shall not be liable for any refund related complaints/claims and You shall only approach the respective Hosted App for the same.You acknowledge that any promotion/offer provided on Switch with respect to the Hosted Apps shall be governed by the applicable terms and conditions. We shall not be responsible for the delays/ reversals or failure of transactionUser Errors:If you erroneously send a payment to the wrong party or wrong biller or double pay or send a payment for the wrong amount (for instance a typographical error at your end) your only recourse will be to contact the Merchant /Party to whom you have sent the payment and ask them to refund the amount.
