Because this is a SaaS model, what you’re really licensing to the customer is the right to use and access the software as hosted on your company’s servers.Because your customer’s software license (or rather, rights) is dependent on your company’s ability to run the servers, you’ll need a service level agreement in place. What this entails will depend on your customers and the nature of your enterprise, but a good place to start will be Y Combinator’s sample SaaS Sales Order Form here: https://www.ycombinator.com/docs/YC_Form_SaaS_Agreement.doc.Because of this dependency (i.e. between the customer’s software licence and you provisioning the SaaS service), you’ll need to think of what will happen if either side’s needs are not met - in other words, on what basis will you terminate the agreement, and on what terms?Finally, other elements such as warranties/indemnities/limitations of liability, as well as use and ownership of data, confidential information, proprietary rights and so on.
